Upon the terms and subject to the conditions set forth in this Agreement, each party shall use its best efforts to take, or cause to be taken, all actions and to do, or cause to be done, all things necessary, proper or advisable under applicable laws and regulations, including without limitation obtaining Federal Reserve Approval, to consummate the transactions contemplated by this Agreement as promptly as possible.

The Issuer may redeem the Notes at any time prior to their maturity, subject to obtaining Federal Reserve Approval, upon the occurrence of a “Tax Event,” a “Tier 2 Capital Event” or a “1940 Act Event,” each as defined in the preliminary prospectus supplement.
The Company will, at its expense and as expeditiously as possible, cooperate with the holder to obtain any required Federal Reserve Approval.
Other than the Federal Reserve Approval, FDIC Approval, OCC Approval and SBA Approval, no notice to, application or filing with, or Consent of, any Governmental Authority is necessary on the part of Purchaser or any of its Subsidiaries in connection with Purchaser’s execution, delivery or performance of this Agreement, and the consummation of the transactions contemplated hereby.
In addition, the Company may, at its option, redeem the Securities at any time, in whole but not in part, at a price equal to 100% of the principal amount of the Securities being redeemed plus interest that is accrued and unpaid to but excluding the date of redemption, subject to Federal Reserve Approval, upon the occurrence of a Tier 2 Capital Event, a Tax Event or a 1940 Act Event.
