Fill Rate definition

Fill Rate shall be defined as the average of the individual fill rates for all orders of a Product by stock keeping unit (or “SKU”) by all Purchasers during any calendar month, calculated by dividing the total units delivered undamaged within the delivery schedule requirements of Section 7.0 of this Agreement and/or Exhibit B by the total units ordered for such Product during such calendar month.

Fill Rate means the monthly percentage of hours filled per Dental Professional compared to the number of hours that would be provided each month if all positions in the Contractor’s staffing plan were filled and all Staff worked the number of hours indicated in the plan. (See §3.3.1.1.1),

Examples of Fill Rate in a sentence

• Any failure by Vendor to maintain the Required Fill Rate for any Product (whether such Product is supplied directly to Purchasers or to a Distributor) that is not cured within thirty (30) days following written notice from HealthTrust shall be deemed a breach of this Agreement.

• For purchases made through Distributors (if any), Vendor represents and warrants that it shall maintain sufficient inventory and transportation arrangements to allow Distributor(s) to comply with the delivery time and the Required Fill Rate stated in this Agreement.

• If the Fill Rate falls below 98% for three (3) consecutive months and the Contractor fails to provide an explanation for the reduction which is satisfactory to the State, the State may cancel the Contract with a 30-day written notice to the Contractor.

• In any instance where Vendor anticipates that it will not be able to comply with the delivery time and/or the Required Fill Rate for Products, or the performance time for Services, Vendor shall promptly attempt to resolve the issue to each affected Purchaser’s reasonable satisfaction, which may include Purchaser’s acceptance of alternative delivery or performance dates or, with respect to Products, the provision of an acceptable substitute from Vendor at the same or lower price as the unavailable Product.

• For purchases made directly from Vendor (if any), Vendor represents and warrants that it shall maintain sufficient inventory and transportation arrangements to comply with the delivery time and the Required Fill Rate stated in this Agreement.

Fill Rate means the percentage arrived at by dividing (i) as the numerator, the number of Pieces of Product (for purposes of this Agreement each “Piece” shall mean one Supplier ordering unit) ordered by TFM for delivery within an Order Period and which are delivered (or made available for pick up at Supplier’s Facility if, and to the extent, TFM expressly requests that such Product be made available for pick up by TFM and not delivered to TFM Stores) during such Order Period, and including any Permitted Outs (collectively the “Delivered Product”), by (ii) as the denominator, the amount obtained by subtracting (A) the number of Pieces of Product ordered by TFM but which are not delivered (or made available for pick up at Supplier’s Facility if, and to the extent, TFM expressly requests that such product be made available for pick up by TFM and not delivered to TFM Stores) during such Order Period due to any Permitted Outs (as defined below in this Section 4(b)) from (B) the number of Pieces of Product ordered by TFM for delivery or pick up within such Order Period, excluding any Permitted Outs. By way of example only and not limitation, if the number of Delivered Pieces during a particular Order Period were 9,300, the number of Pieces of Product ordered were 10,000 and the number of Permitted Outs were 400, then the Fill Rate for such Order Period would be ninety-seven percent (97%) (9,300 + 400 = 9,700; 9,700 ÷ by 10,000 = .97). As used herein, the term “Permitted Outs” shall mean Products which are ordered by TFM but which are not delivered due to factors beyond Supplier’s control, which shall be limited to: [***]

Fill Rate means the percentage of requests where a LAP accepted and was assigned to the request. The rate is measured by dividing the total number of requests by the number of those requests that had a LAP assigned to it at any point in time.

Fill Rate means the quantity of fully conforming Products actually shipped within the Lead Time, divided by the quantity of conforming Products that should have been shipped by the Delivery Date. Fill Rate is determined on a purchase order basis.

Fill Rate as used herein shall be described as the average of the individual fill rates for all Dual and Sole Source Products ordered during any calendar month. The fill rate for any individual Product is the ratio of total units ordered for such Product divided into the total unit delivered within the delivery schedule requirements of Section 7 of this Agreement.

Fill Rate means that proportion, on an annualized basis, of Goods ordered by Meijer that are fulfilled by Company’s delivery of conforming Goods to the applicable distribution facility. “QA rejections” means that proportion, on an annualized basis, of Goods delivered by the Company that do not meet Xxxxxx’s quality standards when received at the applicable distribution facility (also known in Meijer’s industry as “shrink”).
