Final Settlement Class definition

Final Settlement Class refers to all members of the Settlement Class who do not timely and validly exclude themselves from the Class in compliance with the exclusion procedures set forth in this Agreement.

Examples of Final Settlement Class in a sentence

  • Within thirty (30) days of the Effective Date, the Settlement Administrator will disburse payments (either by electronic payment or check) for approved Claims to each Final Settlement Class Member who submits a timely and valid Claim Form.

  • If 18 any Final Settlement Class Member’s check is not cashed within that period, and if the aggregate 19 funds represented by the uncashed checks total $15,000 or more, they will be distributed to each 20 remaining Class Member who is participating in the Settlement and who cashed or deposited their 21 check for their individual Settlement Amount in the same method as used in calculating their 22 respective initial Settlement Amount.

  • The Notice will advise all Settlement Class 14 Members of the binding nature of the releases provided herein and such shall have the same force 15 and effect as if this Settlement Agreement were executed by each Final Settlement Class Member.

  • The Settlement Administrator shall also be 6 responsible for issuing to Plaintiff, Final Settlement Class Members, and Class Counsel any Forms 7 W-2, Forms 1099, or other tax forms as may be required by law for all amounts paid pursuant to this 8 Agreement.

  • However, the Release will be binding upon all Final Settlement Class Members including 2 those who do not cash their checks within the 180-day period.

  • Members of the Final Settlement Class will be required to submit a Claim Form to receive a distribution payment from the Settlement Fund.

  • Without limiting the 10 foregoing, in the event a Final Settlement Class Member notifies the Settlement Administrator that 11 he/she/they believe that a settlement check has been lost or stolen, the Settlement Administrator shall 12 immediately stop payment on such check.

  • Each Final Settlement Class Member is limited to the submission of one Claim Form and in no event shall a Final Settlement Class Member receive more than distribution.

  • The costs of settlement administration, including notice and distributions to members of the Final Settlement Class, the costs of administrating the Settlement Fund, and reasonable fees of the Settlement Administrator, Plaintiffs’ Counsel’s Fees and Expenses and Class Representatives’ Service Awards shall be paid exclusively from the Settlement Fund.

  • Final Settlement Class Members shall have 17 180 calendar days after mailing by the Settlement Administrator to cash their settlement checks.

Related to Final Settlement Class

  • Final Settlement Date has the meaning set forth in Section 3.1(e).

  • Settlement Class means, in respect of each Proceeding, the settlement class defined in Schedule A.

  • Settlement Class Period means the period from and including January 1, 2000 through July 20, 2021.

  • PJM Settlement or “PJM Settlement, Inc.” shall mean PJM Settlement, Inc. (or its successor), established by PJM as set forth in Operating Agreement, section 3.3. PJM Tariff, Xxxxxx, O.A.T.T., OATT or PJM Open Access Transmission Tariff: “PJM Tariff,” “Tariff,” “O.A.T.T.,” “OATT,” or “PJM Open Access Transmission Tariff” shall mean that certain PJM Open Access Transmission Tariff, including any schedules, appendices or exhibits attached thereto, on file with FERC and as amended from time to time thereafter. Plan:

  • Physical Settlement Amount For any Settlement Date for which Physical Settlement is applicable, an amount in cash equal to the product of (a) the Forward Price in effect on the relevant Settlement Date multiplied by (b) the Settlement Shares for such Settlement Date.

  • Maximum Settlement Amount means the maximum amount the Company may be required to pay pursuant to this Settlement, which is the sum of One Hundred Forty-Five Thousand Dollars ($145,000), including any of the Company’s employer-side share of FICA, FUTA, and other similar, mandatory employer-side payroll taxes. In no event shall the Maximum Settlement Amount exceed the foregoing sum.

  • ASX Settlement means ASX Settlement Pty Ltd (ABN 49 008 504 532);

  • Settlement Class Members means a Person(s) who falls within the definition of the Settlement Class.

  • Settlement Class Member means a member of a Settlement Class.

  • Cash Settlement shall have the meaning specified in Section 14.02(a).

  • Gross Settlement Amount means $633,000.00 which is the total amount Defendant agrees to pay under the Settlement except as provided in Paragraph 9 below. The Gross Settlement Amount will be used to pay Individual Class Payments, Individual PAGA Payments, the LWDA PAGA Payment, Class Counsel Fees, Class Counsel Expenses, Class Representative Service Payment and the Administrator’s Expenses.

  • Cash Settlement Amount means the “Cash Settlement Amount” as determined by the Calculation Agent in accordance with Paragraph 6.

  • Settlement Class Counsel means and refers to Xxxxxxxx, Xxxxxxxxxx, & XxXxxxx, P.C.

  • Daily Settlement Amount for each of the 40 consecutive Trading Days during the Observation Period, shall consist of:

  • Physical Settlement Date means the date specified as such in any Physical Settlement Notice, which shall be not earlier than 10 nor later than 20 Business Days after the date on which the Physical Settlement Notice is given.

  • Viatical settlement broker means a person, including a life insurance producer as provided for in section 508E.3, who, working exclusively on behalf of a viator and for a fee, commission, or other valuable consideration, offers or attempts to negotiate viatical settlement contracts between a viator and one or more viatical settlement providers or one or more viatical settlement brokers. Notwithstanding the manner in which the viatical settlement broker is compensated, a viatical settlement broker is deemed to represent only the viator, and not the insurer or the viatical settlement provider, and owes a fiduciary duty to the viator to act according to the viator’s instructions and in the best interest of the viator. “Viatical settlement broker” does not include an attorney, certified public accountant, or a financial planner accredited by a nationally recognized accreditation agency who is retained to represent the viator and whose compensation is not paid directly or indirectly by the viatical settlement provider or purchaser.

  • Mandatory Redemption Settlement Date means, in respect of a Mandatory Redemption Event, the day that falls three Currency Business Days after the day on which the Issuer has received payment in full from the Margin Loan Provider of the amounts payable in respect of the termination of the LS Margin Account Agreement.

  • Viatical settlement provider means a person, other than a viator, who enters into or effectuates a viatical settlement contract. Viatical settlement provider does not include:

  • Net Settlement Amount means the Gross Settlement Amount, less the following payments in the amounts approved by the Court: Individual PAGA Payments, the LWDA PAGA Payment, Class Representative Service Payment, Class Counsel Fees Payment, Class Counsel Litigation Expenses Payment, and the Administration Expenses Payment. The remainder is to be paid to Participating Class Members as Individual Class Payments.
