Final Valuation definition

Final Valuation has the meaning set forth in Section 1.76(b).

  • If this date should not be a Calculation Date, the next following Calculation Date is deemed to be the Final Valuation Date.

At Closing, OnHealth will cause the LLC to pay to Xxxxxxx up to $200,000 in full satisfaction of all outstanding notes or other evidences of indebtedness of any of the Acquired Companies to Xxxxxxx.
Final Valuation means RMB*** x the 2014 Performance Parameter, but in no event shall the Final Valuation exceed RMB***.
Final Valuation. The final valuation, after factoring in the excess debt assumed for ISI over the accounts receivable, represents a fair valuation at this time and incorporates management's best estimates based upon information and history available.
