First Refusal Exercise Notice definition

First Refusal Exercise Notice substantially in the form of Exhibit 7 annexed hereto, such Restricted Free Agent and the ROFR Team shall be deemed to have entered into a Player Contract, effective as of the date the First Refusal Exercise Notice is given, containing all the Principal Terms included in the Standard Player Contract attached to the Offer Sheet and no additional terms.
First Refusal Exercise Notice shall have the meaning set forth in Section 10.3(b) of this Agreement.

  • Promptly upon but no later than two business days after the giving of a First Refusal Exercise Notice to the Restricted Free Agent, the Prior Club shall cause a copy thereof to be given to the NFL, which shall notify the NFLPA.

  • A First Refusal Exercise Notice, a Qualifying Offer and any other writing required or permitted under Article 9 or Article 10 shall be deemed given when sent by the Prior Club.

  • A First Refusal Exercise Notice, a Qualifying Offer and any oth- er writing required or permitted under Article XIX (Veteran Free Agency) shall be deemed given when sent by the Prior Club.

  • If the Offeree elects to purchase the Subject Interest it must notify the Offeror in writing (the "First Refusal Exercise Notice") within said 30-day period, and such notice must be accompanied by a First Refusal Deposit (defined below).

First Refusal Exercise Notice substantially in the form of Exhibit H annexed hereto, then, subject to Section 5(h) below, such Restricted Free Agent and the ROFR Team shall be deemed to have entered into a Player Contract containing all the Principal Terms (but not any terms other than the Principal Terms) included in the Uniform Player Contract attached to the Offer Sheet (except that if the Contract contains an Exhibit 6, such Exhibit 6 shall be deemed deleted). Such Contract may not thereafter be amended in any manner for a period of one (1) year.
