Examples of FIS Shares in a sentence

  • All rights to purchase FIS Ordinary Shares, as applicable, under FIS Assumed Options shall thereupon be converted into rights to purchase common shares of Parent and thereafter there shall be no options outstanding to purchase FIS Shares.

  • At the FIS Closing, the Purchaser shall purchase all (and not less than all) of the FIS Shares which constitute the entire issued and outstanding share capital of FIS, assuming assumption of the FIS Options pursuant to ‎Section 2.04 below and cancellation, conversion and/or exercise of any and all other securities and other rights that are exercisable or convertible into FIS Shares, subject to ‎Section 2.04(b)(ii).

Related to FIS Shares

  • Newco Shares means the common shares in the capital of Newco;

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Acquired Shares has the meaning set forth in the Recitals.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Sold Shares shall have the meaning specified in Section 6.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Consideration Shares has the meaning ascribed thereto in Section 2.2.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Founders’ Shares means 1,000 shares with a par value of $1 per share, 500 of which were issued to MACRO Securities Depositor, LLC and 500 of which were issued to Claymore Securities, Inc., in exchange for the Initial Deposit.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Company Shares means the common shares in the capital of the Company;

  • Acquisition Shares means each class of shares of beneficial interest of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • Common Shares means the common shares in the capital of the Corporation;

  • Subco Shares means the common shares in the capital of Subco;

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Series B Shares means the shares of Fixed Rate Cumulative Perpetual Preferred Stock, Series B, of the Company.

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Series C Shares means the shares of Fixed Rate Cumulative Perpetual Preferred Stock, Series C, of the Company.
