Floor Planning Facility as to the Borrower or any Restricted Subsidiary, any manufacturer- or vendor-sponsored Inventory financing program (whether directly from the manufacturer or vendor or through a third party financing source) extending loans or trade terms to the Borrower or such Restricted Subsidiary and secured solely by such manufacturer's or vendor's named brand or identified Inventory, subject to the prior approval of the Administrative Agent in its reasonable discretion and execution and delivery of an intercreditor agreement reasonably acceptable to the Administrative Agent.
