FMC Stock definition

FMC Stock means the common stock of FMC Corporation, a publicly --------- traded equity security.
FMC Stock means common stock of FMC. (y) "Foreign Subsidiary" means a foreign corporation covered by an agreement between the Company and the Internal Revenue Service extending Federal Social Security benefits to such foreign corporation's employees who are United States citizens, provided that either (i) not less than 20% of the voting stock of such foreign corporation is owned by the Company or (ii) more than 50% of the voting stock of such foreign corporation is owned by another foreign corporation which is described in (i) above.

Examples of FMC Stock in a sentence

  • Subject to its ability to execute open-market trades in FMC Stock or to otherwise trade with the Sponsor, the Trustee shall be responsible for ensuring that the short-term investments held in the FMC Stock Fund falls within the agreed-upon range over time.

  • Investments in the FMC Stock Fund shall consist primarily of shares of FMC Stock.

  • Alternatively, as to any amount invested in the Company Stock Fund and the FMC Stock Fund at the time of distribution, the Participant or, where applicable, his or her Beneficiary, may request a certificate representing the whole shares of Company Stock and/or FMC Stock held for him or her, and a check representing any fractional share.

  • The FMC Stock Fund shall also include cash or short-term liquid investments, in accordance with this paragraph, in amounts designed to satisfy daily participant exchange or withdrawal requests.

  • The Trustee shall determine a daily NAV for each unit outstanding of the FMC Stock Fund.

  • So long as the FMC Stock Fund is open for such transactions, sales of units that are requested but not processed on a given day due to insufficient Available Liquidity shall be suspended until Available Liquidity is sufficient to honor such transactions in accordance with the Specified Hierarchy.

  • Pursuant to the Plan, the Trust may be ----------------- invested in FMC Stock to the extent necessary to comply with investment directions in accordance with this Agreement.

  • The issuer of FMC Stock shall be responsible for distributing proxy materials and voting instruction forms to Participants holding an interest in the FMC Stock Fund.

Related to FMC Stock

  • Company Stock means, collectively, the Company Common Stock and the Company Preferred Stock.

  • Common Stock means the common stock of the Company.

  • Common Shares means the common shares in the capital of the Company;

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Class B Stock means Class B Stock, par value $1.00 per share, of the Company.

  • Plan Shares means shares of Common Stock held in the Trust which are awarded or issuable to a Participant pursuant to the Plan.

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Class A Preferred Stock means the Class A preferred stock, nominal value $0.0001 per share, of the Company.

  • Series B Stock means the Company's Series B Convertible Preferred Stock, par value $0.000001 per share.

  • Holdings Common Stock means the common stock of Holdings.

  • Fully-Diluted Common Stock means, as of any date, the aggregate number of (i) shares of Common Stock issued and outstanding and (ii) securities convertible into or exercisable for shares of Common Stock (whether vested or unvested).

  • Series B Preferred Stock means shares of the Company’s Series B Preferred Stock, par value $0.0001 per share.

  • Class A Preferred Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Common Stock Equivalent means any Convertible Security or warrant, option or other right to subscribe for or purchase any Additional Shares of Common Stock or any Convertible Security.

  • Ordinary Shares means the ordinary shares, par value $0.0001 per share, of the Company.

  • Conversion Stock means shares of Common Stock issued upon conversion of the Preferred Stock.

  • Series A Stock means the Series A Convertible Preferred Stock, par value $0.01 per share, of the Company.

  • Parent Common Stock means the common stock, par value $0.01 per share, of Parent.

  • Company Series A Preferred Stock means the Series A Preferred Stock, par value $0.0001 per share, of the Company.

  • Designated Preferred Stock means Preferred Stock of the Company or any direct or indirect parent of the Company (other than Disqualified Stock), that is issued for cash (other than to the Company or any of its Subsidiaries or an employee stock ownership plan or trust established by the Company or any of its Subsidiaries) and is so designated as Designated Preferred Stock, pursuant to an Officers’ Certificate, on the issuance date thereof.

  • Series B Preferred Shares means the Series B Preferred Shares of the Company, par value US$0.0001 per share.

  • Equity Stock means all classes or series of capital stock of the Company authorized under the Charter, including, without limit, its common stock, $.001 par value per share, and preferred stock, $.001 par value per share.
