Foreign Member definition

Foreign Member has the meaning set forth in Section 3.4.
Foreign Member. [name of the Foreign Member];
Foreign Member means a Member which is neither (i) an individual who is a citizen of the United States, (ii) a partnership, each of whose partners is an individual who is a citizen of the United States, nor (iii) a corporation or association organized under the laws of the United States or a state, District of Columbia, or a territory or possession of the United States, of which the president and at least two-thirds of the board of directors and other managing officers are citizens of the United States, which is under the actual control of citizens of the United States, and in which at least 75% of the voting interests are owned and controlled by persons that are citizens of the United States.

  • The Responsible Entity must take reasonable steps to maximise the amount payable to each Foreign Member under Clause 6.9(b).

Foreign Member means a member who is ordinarily resident outside the Republic and who has been admitted to the Institute as a foreign member and who is registered with the Institute, as specified in the By-laws.
