Forest Parties definition

Forest Parties means Forest, its Affiliates and their respective licensors (including [*]), agents, directors, officers, licensees, sublicensees and employees. The indemnification obligations set forth in this Section 10.2 shall not apply to the extent that any Loss is the result of (i) a breach of this Agreement by Forest, or (ii) with respect to any Forest Party, any negligence or willful misconduct of any Forest Party. Examples of Forest Parties in a sentence

  • The Debt Offer Documents (including all amendments or supplements thereto) and all other communications with the holders of the Notes in connection with the Debt Offer (including any materials provided, furnished or filed pursuant clause (e) immediately below) shall be subject to prior review of, and comment by, the Sabine Parties and the Forest Parties and shall be reasonably acceptable to each of them.

Related to Forest Parties

  • Concert Parties means such persons as are deemed to be Acting in Concert with Mediahuis or INM (as the context so requires) pursuant to Rule 3.3 of Part A of the Takeover Rules, and such persons as are Acting in Concert with that party;

  • Initial Guarantors shall have the meaning set forth in the preamble.

  • Note Parties means, collectively, the Issuer and each Guarantor.
