Form of Debenture definition

Form of Debenture means the “Form of Debenture” attached hereto as Exhibit A.
Form of Debenture means the “Form of Debenture” attached hereto as Exhibit A. “GAAP”, when used in respect of accounting terms or accounting determinations, means United States generally accepted accounting principles for privately accountable enterprises at the relevant time determined.

  • Every Security shall bear interest from the date of initial issuance, at the annual rate as specified on the face of the Form of Debenture attached as Exhibit A hereto.

  • The Company shall have executed the Debentures substantially in the form attached hereto in the Form of Debenture.

Related to Form of Debenture

  • Form of Note means the “Form of Note” attached hereto as Exhibit A.

  • Convertible Debenture means the 6% convertible debenture dated July 1, 2008 and due July 1, 2011, in the amount of CAD$10,000,000 issued by Orezone to the Debentureholder;

  • Series B Debentures means the $200 million aggregate principal amount of 4.903% Series B senior unsecured debentures of the Trust due July 5, 2023.

  • Initial Debentures means the Debentures designated as “8.0% Unsecured Convertible Debentures” and described in Section 2.5;

  • Series A Debentures means the Series A 8.98% Junior Subordinated Deferrable Interest Debentures due February 1, 2027 of the Debenture Issuer issued pursuant to the Indenture.

  • Transfer Agent Instructions means, with respect to the Company, the Irrevocable Transfer Agent Instructions, in the form of Exhibit E, executed by the Company and delivered to and acknowledged in writing by the Transfer Agent.

  • 2029 Notes has the meaning specified in the recitals of this Supplemental Indenture.

  • Exchange Debentures has the meaning set forth in Section 2(a) hereof.

  • Series D Notes is defined in Section 1.

  • Subordinated Debentures means the debentures exchangeable by the Company for the Preferred Stock in accordance with the Certificate of Designations therefor.

  • Redemption Agreement has the meaning set forth in the Recitals.

  • UK Debenture has the meaning assigned to that term Section 5.1(b).

  • Form of Agreement means the form of agreement contained in Part D of the RFP;

  • Series C Notes is defined in Section 1.

  • Convertible Note means an instrument issued by a startup company evidencing receipt of money initially as debt, which is repayable at the option of the holder, or which is convertible into such number of equity shares of such startup company, within a period not exceeding five years from the date of issue of the convertible note, upon occurrence of specified events as per the other terms and conditions agreed to and indicated in the instrument;

  • Other Debentures means all junior subordinated debentures issued by the Guarantor from time to time and sold to trusts to be established by the Guarantor (if any), in each case similar to the Issuer.

  • Transfer Agent Instruction Letter means the letter from the Company to the Transfer Agent which instructs the Transfer Agent to issue Underlying Shares pursuant to the Transaction Documents, in the form of Exhibit B attached hereto.

  • Debenture means debenture stock, mortgages, bonds and any other such securities of the Company whether constituting a charge on the assets of the Company or not.

  • 2013 Notes means the 4.375% Senior Secured Notes due 2023 and the 5.950% Senior Secured Notes due 2043 issued by the Issuer on March 18, 2013.

  • Global Debenture shall have the meaning set forth in Section 2.4(a).

  • Series B Certificate of Designation means the Certificate of Designation of Series B Cumulative Convertible Preferred Shares of the Company as in effect on the date hereof.

  • Description of Notes means the “Description of the Notes” section of the Final Offering Memorandum.

  • Series B Certificate of Designations means the Certificate of Designations of the Series B Cumulative Convertible Preferred Stock filed with the Secretary of State of the State of Delaware on or prior to the date hereof.

  • Series A Certificate of Designation means the Certificate of Designation of Series A Cumulative Convertible Preferred Shares of the Company as in effect on the date hereof.

  • Series A Certificate of Designations means the Certificate of Designations with respect to the Series A Preferred Stock adopted by the Board of Directors and duly filed with the Secretary of State of the State of Delaware on or before the Payment Date substantially in the form attached hereto as Exhibit C.

  • Series C Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to three (3) years, in the form of Exhibit C attached hereto.
