Fulfillment Partner definition

Fulfillment Partner. (also referred to as “Reseller”) shall mean a third party contractor qualified and authorized by Vendor, and approved by DIR as necessary (such approval not unreasonably withheld or delayed), who may, to the extent authorized by Vendor, fulfill any of the requirements of this Agreement including but not limited to providing Products and Services under this Agreement and billing Purchasers directly for such Products and Services. Vendor may, upon written notice to DIR, add or delete authorized Fulfillment Partners as necessary at any time during the contract term. Fulfillment Partner has no authority to amend this Agreement or to bind Vendor to any additional terms and conditions. Fulfillment Partners are required to sell Products or Services at not less than the stated pricing discounts set forth in this Agreement, and may offer additional incremental discounts, in their sole discretion.
Fulfillment Partner has the meaning set forth in the Master Agreement, Attachment A.
Fulfillment Partner means a Subcontractor who may provide Products and Services under this Contract at the Prices established in this Contract and bill Purchasers directly for such Products and Services, as further defined in Section 47 Subcontractors and Fulfillment Partners.

Examples of Fulfillment Partner in a sentence

  • Contractor, in its sole discretion, is not required to add, and may delete upon thirty (30) days written notice, any Fulfillment Partner who does not meet Contractor’s established qualifying criteria, or where the addition of the entity would violate any state or federal law or regulation.

  • Notwithstanding any provision to the contrary, Contractor shall report to Enterprise Services total contract sales, delineated by purchaser, made by each individual Authorized Fulfillment Partner, and also report total contract sales, delineated by purchaser, on a consolidated Contractor ‘roll-up’ basis.

  • However, the Fulfillment Partner may offer any additional incremental discounts to Participating State/Entity, and such additional discounts if offered, may be provided in the discretion and as the sole legal obligation of the approved Fulfillment Partner to the Participating State/Entity.

  • As to Participating State and Purchasing Entity hereunder, Contractor shall have full and complete responsibility and liability for any act or omission by Contractor’s Authorized Fulfillment Partner.

  • In no event shall the existence of a subcontract between Contractor and its Authorized Fulfillment Partner operate to release or reduce Contractor’s liability to the Participating State or any Purchasing Entity for any breach of the Master Agreement or this Participating Addendum.

  • In no event shall the existence of a subcontract between Contractor and its Authorized Fulfillment Partner Purchaser for any breach of the Master Agreement or this Participating Addendum.

  • Notwithstanding the foregoing, Customer will be solely responsible for payment of all tax penalties, interest, and additional NEOGOV fees if: (i) the penalty is the result of incorrect, inaccurate, or incomplete information Customer provides to NEOGOV, (ii) Customer has insufficient funds in Customer’s designated bank account to process HRIS Services, or (iii) a party other than NEOGOV, or a NEOGOV Fulfillment Partner, fails to perform services in a timely manner.

Fulfillment Partner. A retailer, distributor, contract partner or lawful business partner who has enrolled and been approved to fulfill orders on the Kibo Network.

Fulfillment Partners shall not have any authority to amend the contract or bind CTS to any additional terms and conditions.
