Fund Employee definition

Fund Employee means any person who: (i) is an Access Person; or (ii) is a director, partner, officer or employee of OAM or a Non-Managing Member and provides services to a Fund or in the course of his or her duties obtains information regarding investment recommendations made to any Fund or any Fund’s investment transactions.
Fund Employee means any person who: (1) is an Access Person or (2) is a director or officer of the Fund and provides services to the Fund or in the course of his or her duties obtains information regarding investment recommendations made to the Fund or the Fund’s investment transactions.

  • Public employee means an individual holding a position by appointment or employment in the government of this state, in the government of 1 or more of the political subdivisions of this state, in the public school service, in a public or special district, in the service of an authority, commission, or board, or in any other branch of the public service, subject to the following exceptions:

Such officer status shall be determined pursuant to the executive compensation disclosure rules under the Exchange Act.

  • Academic employee Academic employee shall mean an employee in the Professional Services Negotiating Unit with academic or qualified academic rank.

  • School employee means (1) a teacher, substitute teacher, school administrator, school superintendent, guidance counselor, psychologist, social worker, nurse, physician, school paraprofessional or coach employed by a local or regional board of education or working in a public elementary, middle or high school; or (2) any other individual who, in the performance of his or her duties, has regular contact with students and who provides services to or on behalf of students enrolled in a public elementary, middle or high school, pursuant to a contract with the local or regional board of education.

  • New employee means a Full-Time Employee first employed by the Company in the Project and who is hired on or after the Effective Date of this Agreement.

  • Affiliated employee means any individual employed by a recipient who receives compensation directly from government assistance or a contract with the District of Columbia government, including any employee of a contractor or subcontractor of a recipient who performs services pursuant to government assistance or a contract. The term “affiliated employee” does not include those individuals who perform only intermittent or incidental services with respect to the government assistance or contract, or who are otherwise employed by the contractor, recipient or subcontractor.

  • Non-Employee means a consultant, adviser, service provider, Controlling Shareholder or any other person who is not an Employee.

  • Employee Member means a member of the “Bargaining Unit”.

  • Non-Employee Directors means that term as defined in Rule 16b-3 under the 1934 Act.

  • Company Employee means an employee of the Company or an employee of a Subsidiary of the Company, if any.
