Fund Unitholders means holders of Class A Fund Units and/or Class F Fund Units.

• All of the IRE Shares to be issued by IRE to the Fund Unitholders in connection with the Arrangement have been duly authorized for issuance and, at the Effective Time, will be duly and validly issued as fully paid and non-assessable.
