Funding Termination Notice definition

Funding Termination Notice has the meaning specified in Section 6.1.
Funding Termination Notice means a Funding Reduction Notice indicating that LLAL will provide no further funding to the Trust; A "Funding Termination Notice Period" means the period from the date of the Funding Termination Notice until the date on which the reduction in funding becomes effective, a "Funding Termination" means the effective termination of funding (following the expiry of the Funding Termination Notice Period) as described therein and "Terminated Funding" means such amount of funding which was previously notified to the Trust pursuant to Clause 17.1 or 17.2 of the Relationship Management Agreement but which is not paid by LLAL to the Trust as a result of the Funding Termination;
Funding Termination Notice means a Notice issued by the Funder pursuant sub-clause15.1 confirming that the LFA is terminated GST has the same meaning as in the GST Act.

  • Revolving Termination Date means the earlier to occur of:

  • Special Termination Notice means the Notice of Special Termination substantially in the form of Annex VII to this Agreement.

  • Offering Termination Date means the last day of each March, June, September and December following an Offering Commencement Date, or such other Offering Termination Date established in connection with a Terminating Event.

  • CIC Qualifying Termination means a Separation (A) within twelve (12) months following a Change in Control or (B) within three (3) months preceding a Change in Control (but as to part (B), only if the Separation occurs after a Potential Change in Control) resulting, in either case (A) or (B), from (i) the Company terminating the Executive’s employment for any reason other than Cause or (ii) the Executive resigning his or her employment for Good Reason. A termination or resignation due to the Executive’s death or disability shall not constitute a CIC Qualifying Termination. A “Potential Change in Control” means the date of execution of a legally binding and definitive agreement for a corporate transaction which, if consummated, would constitute the applicable Change in Control (which for the avoidance of doubt, would include, for example, a merger agreement, but not a term sheet for a merger agreement). In the case of a termination following a Potential Change in Control and before a Change in Control, solely for purposes of benefits under this Agreement, the date of Separation will be deemed the date the Change in Control is consummated.

  • Mandatory Termination Date means the "Termination Date" set forth under "Investment Summary--Essential Information" in the Prospectus for the Trust.

  • Effective Termination Date has the meaning set forth in Section 10(b) hereof.

  • Agreement Termination Date is defined in Section 7.4.

  • Loan Termination Date means the earliest to occur of the following: (i) as to the REVOLVING NOTES, November 1, 2012, as to the TERM NOTES, October 31, 2016, (ii) the date the OBLIGATIONS are accelerated pursuant to this AGREEMENT, and (iii) the date ADMINISTRATIVE AGENT has received (a) notice in writing from BORROWER of BORROWER’s election to terminate this AGREEMENT and (b) indefeasible payment in full of the OBLIGATIONS.

  • Standstill Termination Date means the earlier of (i) the first anniversary of the Board Rights Termination Date and (ii) the later of (A) the third anniversary of this Agreement or (B) the first anniversary of the date on which both the Purchaser Designated Director has resigned from the Board and the Purchaser has permanently waived and renounced the Purchaser’s Board observation rights and Board designation rights in Section 1 and Section 2 of this Agreement.

  • Termination Period means the period of time beginning with a Change in Control and ending on the earlier to occur of:
