Future Shares definition

Future Shares means all additional shares in the capital of the Company (irrespective of their nominal value) which the Pledgor may acquire in the future in the event of a share transfer, a share split, a share combination, an increase of the capital of the Company (including by way of authorised capital (genehmigtes Kapital)) or otherwise.
Future Shares means all shares in the capital of the Company, which are acquired by the Pledgor after the date of this Deed;
Future Shares means any and all future shares in the capital of the Company to be acquired (either through issue, purchase, distribution or otherwise) by the Pledgor after the date of this deed;

Examples of Future Shares in a sentence

  • In particular, should any such steps be required in relation to Future Shares, the Pledgor undertakes to take any such steps simultaneously to the issuance or receipt of Future Shares.

  • In addition, the Pledgor and the Pledgee shall, if reasonably practicable at the time of or, if not practicable at such time, as soon as reasonably practicable, after the acquisition of such Future Shares, arrange that the attribution of the Voting Rights attaching thereto shall be ratified if that is reasonably deemed necessary, to enable the Pledgee to exercise such Voting Rights upon the occurrence of the condition precedent as provided in Section 3.1 of this Pledge Agreement.

  • The Shareholder will not sell in a public or private transaction or in any other way divest himself of any Shares, Future Shares or unexercised Options of the Company now owned or which may be acquired during the term of this Agreement, whether ownership is of direct or indirect interest.

  • The Shareholder acknowledges that the Company and its transfer agent and registrar cannot effectively monitor the Shareholder's transactions in the Shares, Future Shares or unexercised Options once such Securities are placed into nominee or "street" name accounts.

  • If there are no Refused Future Shares, the sale to the Investors of such Future Shares shall occur within 20 days of the expiration of the Future Shares Exercise Period.


More Definitions of Future Shares

Future Shares means all additional shares in the capital of German Holdings in whatever nominal value which the Pledgor may acquire in the future in the event of an increase of share capital of German Holdings or otherwise.
Future Shares means any shares in the capital of the Company that are acquired by the Pledgor following execution of this Deed;
Future Shares means all additional shares in the capital of the Pledged Company (irrespective of their nominal value) which the Pledgor may acquire in the future in the event of a share transfer, a share split, a share combination, an increase of the capital of the Pledged Company (including by way of authorized capital (genehmigtes Kapital)) or otherwise.
Future Shares means the Future Shares 1 and the Future Shares 2 referred to collectively and “Future Share” means any of them.
Future Shares shall have the meaning set forth in Section 3.1 of this Agreement.
Future Shares means any shares or Participation Rights Issued in addition to or in exchange for or as a surrogate for the Existing Shares by the Company in whatever nominal value, which the Pledgors may acquire by way of subscription or otherwise subsequent to the date of this Agreement, together with all Related Rights. Instructing Group shall have the meaning set forth in the Intercreditor Agreement. Intercreditory Agreement shall have the meaning set forth in Recital B of this Agreement.
Future Shares means all future shares in the registered capital of the Company, arising from a capital increase, split of shares, acquisition or otherwise.
