GC Entities definition

GC Entities means, collectively, Greater China Industrial Investments LLC and GC Intermodal.
GC Entities means (i) the Debtors, (ii) the GC Non-Debtors, and (iii) the SA Joint Venture Entities. "GC INTERNATIONAL" has the meaning ascribed to it in the Recitals. "GC INTERNATIONAL STOCK" has the meaning ascribed to it in the Recitals.
GC Entities means, collectively, GC Investments and GC Intermodal.

  • The Data Room Index contains a correct and complete list of all liability, property, workers' compensation, fidelity, directors' and officers' liability, social, welfare pension and other insurance policies in effect on the date of this Agreement that are issued to the GC Entities and that insure the business, operations or employees of the GC Entities.

  • As of the date of this Agreement, no material claim is pending or, to the Knowledge of any GC Entity, threatened to such effect or with respect to the ownership, validity, license or use of, or any infringement resulting from, the GC Entities' Intellectual Property.

  • None of the GC Entities has any Knowledge that such Intellectual Property is being infringed by any other Person or that the GC Entities are infringing any Intellectual Property of any other Person.

  • Since the Last Statement Date, the GC Entities have been operated in all material respects in the Ordinary Course of Business and there has not been any change or any event or development which, individually or together with other such events or development, has had a Material Adverse Effect.

  • There has been no material work stoppage or strike by employees of any of the GC Entities, and to the Seller' Knowledge, none have been threatened.

  • All the Intellectual Property owned by the GC Entities is free and clear of any and all Liens, other than Permitted Liens or the lien imposed by any license or other permission to use itself.

  • The Data Room Index sets forth: (a) a true and complete list of the names and locations of all banks, trust companies, securities brokers and other financial institutions at which the GC Entities have an account or safe deposit box or maintains a banking, custodial or trading relationship, and (b) a true and complete list and description of each such account, box and relationship, indicating in each case the account number.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Company Entities means the Company and the Company Subsidiaries.

  • Target Companies means the Target and its Subsidiaries.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Group Companies means the Company and its Subsidiaries.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Holding Entities means the subsidiaries of the Infrastructure Partnership, from time to time, through which it indirectly holds all of the Partnership’s interests in the operating entities.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • Buyer Group Member means Buyer and its Affiliates and their respective successors and assigns.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Released Entities means released entities as such term is defined

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Operating Subsidiaries means, collectively, the Corporation and HST, each a wholly-owned subsidiary of the Trust, and "Operating Subsidiary" means either of the Corporation or HST, as applicable.

  • Transaction Parties As defined in Section 5.3(o).

  • Entities means event and competition organisers/promoters/managers, land and track owners/managers/administrators/lessees, CAMS affiliated clubs, state and territory governments and insured listed in CAMS’ public/product/professional indemnity insurance policies and each of their related bodies corporate (including their related bodies corporate) and each of their organs and agencies, officers/president/directors/executives, employees, servants, agents, partners, providers, members, competitors, drivers, co-drivers, navigators, officials, crew members, pit crew, delegates, licence holders, representatives, commissions, committees, advisers, trustees, councils, panels, shareholders, volunteers, officials, appointees, delegated bodies and sponsors.
