Gene Group definition

Gene Group means, with respect to each of Collaboration Years 1 through 6, all Collaboration Hits (including those originating from Independent Discovery Rounds or Internal Non-Field Discovery Rounds that become Collaboration Hits pursuant to the terms hereof) whose Discovery Validation Data Backpacks are provided to Monsanto in a given Collaboration Year. For purposes of this Agreement:

Examples of Gene Group in a sentence

  • As to any Special Gene Group, Monsanto shall conduct Phase I Testing, Phase II Testing, Minimum R&D Activity and Phase advancement as if such Special Gene Group were a separate Gene Group for all purposes hereunder.

  • Notwithstanding anything in this Section 5.10.1 to the contrary, if any Collaboration Hit Homolog of a Collaboration Hit in a Gene Group is advanced to Phase II in at least one of the Main Monsanto Crops within the Phase I Testing Period for such Gene Group, Monsanto shall be deemed to have met the Phase I Testing Minimum for such Gene Group.

  • For example, if a Gene Group was supposed to comprise at least 600 Collaboration Hits but actually comprises [* * *] Collaboration Hits, and the number of Validated Hits from such Gene Group exceeds [* * *] ([* * *]), then Evogene will not be deemed to have suffered a Diligence Failure.

  • The Group will obtain quotation from not less than two independent suppliers that provide similar reagents, consumables and equipment before placing its orders to Da An Gene Group.

  • Any Monsanto Diligence Failure with respect to a Special Gene Group shall be subject to the consequences for that type of Monsanto Diligence Failure for a Gene Group, as set forth in this Section 5.10 above, and as provided in Section 5.11.2.

  • Therefore, there were no overlapping customers between our Group and the Da An Gene Group during the Track Record Period in respect of the diagnostic testing services.

  • Da An Gene As disclosed in “Connected Transactions—Non-exempt Continuing Connected Transactions—Laboratory Testing Service Framework Agreement” section, our Company entered into a Laboratory Testing Service Framework Agreement with Da An Gene on February 18, 2022, pursuant to which Da An Gene Group agreed to provide laboratory testing service to our Group.

  • We provided our customer list during the Track Record Period to Da An Gene Group and noted that Da An Gene Group only supplied testing reagents and equipment to the overlapping customers.

  • Based on the fee quotes provided by other independent suppliers, the Company will be able to ensure that the purchase price to be paid to Da An Gene Group by the Group represents the prevailing market price and on normal commercial terms.

  • Such Collaboration Hits shall be included in the Gene Group or Delivery Group, as applicable, for the Collaboration Year in which their respective Discovery Validation Data Backpacks are provided to Monsanto.

Related to Gene Group

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Residentia Group means Residentia Group Pty Ltd of 165 Barkly Avenue Burnley VIC, ACN 600 546 656 in respect of Appliances purchased in Australia;

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) [replaced by The Companies Act, 2013 (No.18 of 2013)] and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund.

  • Corporation Group means the Corporation, its affiliate, successors and permitted

  • Management Group means at any time, the Chairman of the board of directors, the Chief Executive Officer, the President, any Managing Director, Executive Vice President, Senior Vice President or Vice President, any Treasurer and any Secretary of Holdings or other executive officer of Holdings or any Subsidiary of Holdings at such time.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • IOSCO means the International Organisation of Securities Commissions.

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

  • PEG means public, educational and governmental.

  • Group Business Entity means;

  • Affiliated Group means any affiliated group within the meaning of Code Section 1504(a) or any similar group defined under a similar provision of state, local or foreign law.

  • In loco parentis means relating to the responsibility to undertake the care and control of another person in the absence of:

  • Controlled Affiliate means any Affiliate of the specified Person that is, directly or indirectly, Controlled by the specified Person.

  • Controlled Affiliates means, with respect to a specified Person, another Person that directly, or indirectly through one or more intermediaries, has Majority Control of or is Majority Controlled by or is under common Majority Control with the Person specified.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of SpinCo, after giving effect to the Reorganization.

  • Alliance means the Public Service Alliance of Canada;

  • Screened Affiliate means any Affiliate of a Holder (i) that makes investment decisions independently from such Holder and any other Affiliate of such Holder that is not a Screened Affiliate, (ii) that has in place customary information screens between it and such Holder and any other Affiliate of such Holder that is not a Screened Affiliate and such screens prohibit the sharing of information with respect to the Company or its Subsidiaries, (iii) whose investment policies are not directed by such Holder or any other Affiliate of such Holder that is acting in concert with such Holder in connection with its investment in the Notes, and (iv) whose investment decisions are not influenced by the investment decisions of such Holder or any other Affiliate of such Holder that is acting in concert with such Holders in connection with its investment in the Notes.
