Examples of Global Access License in a sentence

  • SideFX or its authorized representative may at any time after written notice to Licensee, electronically or otherwise, reasonably inspect Licensee's (and in the case of a Global Access License, each applicable Licensee Affiliate's and third party Authorized User's) records, systems and facilities in order to ensure compliance with this Agreement.

  • Licensee will provide (and in the case of a Global Access License, ensure that each applicable Licensee Affiliate and third party Authorized User provides) full cooperation in connection with any such inspection, including the provision of such additional documentation and information as SideFX may reasonably request.

  • Accordingly, the Global Access License hereunder is intended to permit such Developed Country activities which are incidental or necessary to making the Product available and accessible in Developing Countries.

  • Upon a Global Access License, Company may reasonably seek to assign any and all such intellectual property rights, including third-party licenses, to the Foundation or the Foundation’s licensee as appropriate, and the Foundation will reasonably work with the Company to accept such assignment.

  • The following sections will survive the expiration or termination of this GACA: Sections 1 (Charitable Purposes and Use of Funds), 2 (Definitions), 3(e) (Representations, Warranties, Covenants of Company), 5 (Obligations in the Event of Acquisition of Product or Company by Another), 6 (Global Access License), 7 (Required Reporting), 10 (Waiver), 11 (Further Assurances), 12 (Indemnification of Foundation) 13 (Interpretation), 14 (Counterparts), 17 (Miscellaneous) and this sentence.

  • For certainty, notwithstanding anything else in this Agreement, Licensee may only install the Software, or have a third party install the Software for Licensee, for use with a Cloud Service if the License Type that applies to the Licenses issued to Licensee is a Global Access License and only for non-interactive processing.

  • Without limiting the foregoing, in connection with any Global Access License hereunder, the Company will take any actions reasonably necessary to grant the Foundation a license or sub-license to any third-party intellectual property applicable to the Platform Technology or the Funded Developments that is necessary to enable the Foundation to effectively take advantage of the Global Access License for the selected Projects.
