Golf Course Lease definition

Golf Course Lease shall have the meaning set forth in Recital C.

Golf Course Lease that certain Golf Course Lease, dated as of the Closing Date, by and between Xxxx Golf, on the one hand, as lessor, and the Borrower, on the other hand, as lessee.

Golf Course Lease means the Golf Course Lease, dated as of December 14, 2004, between Xxxx Golf, as lessor, and Xxxx Las Vegas, as lessee, with respect to the lease of land on the Golf Course, as amended, modified or otherwise supplemented from time to time in any manner that is not in contravention of Section 4.22 hereof.

Examples of Golf Course Lease in a sentence

• An Affiliate of Transferor shall have delivered to Transferee a countersigned copy of the Golf Course Lease in a form prepared by Transferee, which shall be in substantially the form attached hereto as EXHIBIT E.

• Transferee shall have delivered to Transferor countersigned copies of the Partnership Agreement and Golf Course Lease.

• All income and expenses with respect to the Property, and applicable to the period of time before and after Closing, determined in accordance with generally accepted accounting principles consistently applied, shall be allocated between Transferor and Transferee (or, at Transferee's election, between Transferor and the lessee under the Golf Course Lease to the extent such income or expenses will be payable by or attributable to such lessee).

• Transferor shall transfer or cause to be transferred to Transferee or, at Transferee's discretion, Transferee's nominee (which may include the lessee under the Golf Course Lease), all liquor licenses and alcoholic beverage licenses, if any, necessary to operate the restaurant, bars, snack bars and lounges presently located within the Property, if any.

• All income and expenses with respect to the Property, and applicable to the period of time before and after Closing, determined in accordance with generally accepted accounting principles consistently applied, shall be allocated between Seller and Buyer (or, at Buyer's election, between Seller and the lessee under the Golf Course Lease to the extent such income or expenses will be payable by or attributable to such lessee).
