Grant Group definition

Grant Group has the meaning set forth in Section 1 hereof.
Grant Group means (i) Grant, (ii) Grant's subsidiaries, and (iii) those corporations and other entities whose stock or ownership interests will be contributed to Grant prior to the Spin-Off Date, all of such subsidiaries of Grant and such corporations and other entities being listed on Exhibit A attached hereto. Unless otherwise specified, whenever items of income, gain, loss, deduction, credit, or other Tax attributes of Grant are referred to in this Agreement, the reference shall be to the collective amounts of such items for the Grant Group.
Grant Group means Xxxxxxx X. Xxxxx XX, Xxxxxxx X. Xxxxx III, Xxxxxx Xxxxx, SQ Acquisition Company, LLC, Haakon Capital LLC, and SQAC HOLDCO, LLC and any of their respective Affiliates.

Examples of Grant Group in a sentence

  • The ERC expects the composition of a Synergy Grant Group to remain unchanged throughout the lifetime of the grant.

  • For purpose of the calculations under this Agreement, any loss of Tax credits resulting from or attributable to the transfer of assets to Grant or any other member of the Grant Group in connection with the Spin-Off shall be ignored and all calculations shall be made as though all such tax credits were available for use by the Weatherford Group.

Related to Grant Group

  • Participant Group means you, each of your holding companies and subsidiaries and each subsidiary of each of your holding companies (as each such term is defined in the Companies Act 1985); and

  • Relevant Group means the Company and any affiliated, combined, consolidated, unitary or similar group of which the Company is or was a member.

  • Grant Recipient means a nonprofit or governmental organization that receives funds to operate a center pursuant to this act.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Award Recipient means the person, entity or entities that are to receive or have received grant funds through an award from the Illinois State Board of Education. The terms "grantee" and "award recipient" may be used interchangeably.

  • Registered in the System for Award Management (SAM means that–

  • Nonemployee Director means a Director who is not an Employee.

  • Named Executive Officers or “NEOs” means the following individuals:

  • Eligible Directors means, with respect to a Regulated Fund and a Potential Co-Investment Transaction, the members of the Regulated Fund’s Board eligible to vote on that Potential Co-Investment Transaction under Section 57(o) of the Act (treating any registered investment company or series thereof as a BDC for this purpose).

  • Non-Employee Directors means that term as defined in Rule 16b-3 under the 1934 Act.

  • Award Date means the date upon which the Committee took the action granting an Award or such later date as the Committee designates as the Award Date at the time of the Award.

  • Nonemployee Director Award means any Award granted to a Nonemployee Director.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Non-Employee Director means a Director who either (i) is not a current employee or officer of the Company or an Affiliate, does not receive compensation, either directly or indirectly, from the Company or an Affiliate for services rendered as a consultant or in any capacity other than as a Director (except for an amount as to which disclosure would not be required under Item 404(a) of Regulation S-K promulgated pursuant to the Securities Act (“Regulation S-K”)), does not possess an interest in any other transaction for which disclosure would be required under Item 404(a) of Regulation S-K, and is not engaged in a business relationship for which disclosure would be required pursuant to Item 404(b) of Regulation S-K; or (ii) is otherwise considered a “non-employee director” for purposes of Rule 16b-3.

  • Participating Companies means any insurance company (including Insurance Company) that offers variable annuity and/or variable life insurance contracts to the public and that has entered into an agreement with one or more of the Funds.

  • Director-General means the Director-General of the Department;

  • Named Executive means any individual who, on the last day of the Company’s fiscal year, is the chief executive officer of the Company (or is acting in such capacity) or among the four most highly compensated officers of the Company (other than the chief executive officer). Such officer status shall be determined pursuant to the executive compensation disclosure rules under the Exchange Act.

  • Eligible Recipients means all Employees, all Non-Employee Directors and all Consultants.

  • Eligible Individuals means directors, officers, employees and consultants of the Company or any of its Subsidiaries or Affiliates, and prospective employees and consultants who have accepted offers of employment or consultancy from the Company or its Subsidiaries or Affiliates.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Key Executive means an employee of a Textron Company who has been and continues to be designated as a Key Executive under the Plan by Textron’s Chief Executive Officer and Chief Human Resources Officer.

  • Non-U.S. Participant means any Participant that if it were a Lender would qualify as a Non-U.S. Lender.
