Grass Valley definition

Grass Valley means the Grass Valley legal entity identified in the applicable Proposal/Contract or in the absence of a Proposal/Contract, the Grass Valley legal entity identified on the cover page of the applicable Purchase Order, and may include legal entities with “Grass Valley”, “Quantel”, “▇▇▇▇▇”, or “Miranda” in their legal entity name or other Affiliates as may be included in the Grass Valley group over time.
Grass Valley or “GV”) and the party identified in the signature block below or identified in the Proposal (“Advanced Channel Partner”). Grass Valley and Advanced Channel Partner are each a “Party” and collectively the “Parties.” Advanced Channel Partner’s use and access to the SaaS Services (as defined hereafter) is governed by this Agreement (defined below). The terms and conditions on any statement of work or other business forms that Advanced Channel Partner may use in connection with purchasing the SaaS Services, including any Advanced Channel Partner purchase order forms, will have no effect on the rights and duties of the Parties, even if Grass Valley has not objected to such terms and conditions. By accessing or using the SaaS Services or by placing an Order, Advanced Channel Partner acknowledges that it has read and understood this Agreement, that it has consulted legal counsel prior to acceptance of this Agreement, accepts all of the terms and conditions contained herein, and agrees that the terms and conditions shall be fully and legally binding upon the Parties, without the need for any further indication of acceptance on Advanced Channel Partner’s part (such as by signature, click through or other means of electronic acceptance). If you are acting on behalf of Advanced Channel Partner, Advanced Channel Partner represents that you have full legal authority to bind Advanced Channel Partner. Grass Valley recommends that Advanced Channel Partner print copies of this Agreement for Advanced Channel Partner’s own records and future reference. If Advanced Channel Partner chooses not to agree to all of the terms and conditions of this Agreement, it shall not access or use Grass Valley’s SaaS Services. For clarity, the term “purchase,” when used in this Agreement with respect to SaaS Services, means to acquire a license to Use the SaaS Services (not to acquire title and/or any other intellectual property rights to the SaaS Services).
Grass Valley means Grass Valley Canada located at ▇▇▇▇ ▇▇▇▇▇▇▇ ▇. ▇▇▇▇▇▇▇▇, Montreal, Quebec, H4S 2C6, Canada.

  • Grass Valley shall have no liability for delayed delivery or non-delivery resulting from denial, revocation, suspension or governmental delay in issuance, of any necessary export license or authority.

  • If Customer resells or otherwise disposes of any product or technical data purchased hereunder, it will comply with any export restrictions applicable to such transfer and Customer hereby agrees to indemnify and hold Grass Valley harmless against any and all losses, damages and costs resulting from any non-compliance by Customer.

  • In the event Customer fails to pay Grass Valley’s invoice in full in due time, Grass Valley shall be entitled to suspend the performance of its obligations until Customer has paid all amounts due.

  • Such failure also may be grounds to suspend any future Advance Exchange service, until such outstanding defective component is returned to Grass Valley.

  • Acceptance of a Purchase Order by Grass Valley shall be (a) by general acknowledgement transmitted by facsimile or electronic mail, or (b) by commencement of performance by Grass Valley.

  • In addition, Grass Valley reserves the right to cancel or amend any accepted Purchase Order if for any reason it becomes unable to fulfill Customer’s Purchase Order.

  • Green means products, materials, methods and processes certified by a “Green Authority” that conserve natural resources, reduce energy or water consumption, avoid toxic or other polluting emissions or otherwise minimize environmental impact.
