Group Purchase Limit definition

Group Purchase Limit means, for each Purchase Group, the sum of the Commitments of the Financial Institutions in such Purchase Group.

Group Purchase Limit means, for each Purchaser Group, the amount set forth on Schedule A (or in the Joinder Agreement pursuant to which such Purchaser Group became party hereto), subject to assignment pursuant to Section 12.1, as such amount may be reduced in accordance with Section 1.1(b).

Group Purchase Limit means, for each Purchase Group, the sum of the Back-up Commitments of the Financial Institutions in such Purchase Group, adjusted as necessary to give effect to the termination of the Back-up Commitment of any Terminating Financial Institution in such Purchase Group.

• Following any assignment in accordance with the foregoing criteria, the Ownership Group Percentage and Ownership Group Purchase Limit of each Ownership Group hereunder (after giving effect to the assignment) will be adjusted to such extent as may be necessary to reflect such assignment (and Schedule I hereto shall be deemed to be amended accordingly).

• The Transferor shall repay or cause to be repaid through the applicable joinder agreement any Net Investment outstanding on the effective date of any such increase (and pay any outstanding fees due hereunder or under any Fee Letter) to the extent necessary to keep the outstanding Net Investment of the Owners in each Ownership Group equal to such Ownership Group’s ratable share (after giving effect to the increase in any Ownership Group Purchase Limit pursuant to this Section 2.19(c)).

• Notwithstanding anything to the contrary set forth herein, nothing contained in this Agreement shall constitute a commitment or obligation on the part of any Owner to increase its Ownership Group Purchase Limit hereunder.

• In accordance with the terms and conditions set forth herein, Investors may or shall, as provided herein, instruct the related Managing Agent to purchase on its behalf through the Program Agent, Investor Interests from Seller from time to time in an aggregate amount not to exceed the Program Limit, and for each Investor Group in an aggregate amount not to exceed the Group Purchase Limit for such Investor Group, during the period from the date hereof to but not including the Amortization Date.

Group Purchase Limit means (i) in the case of the Conduit Group related to WCMC, $100,000,000 and (ii) in the case of the Conduit Group related to Gotham and Victory, $100,000,000.
