Guaranteed Contracts definition

Guaranteed Contracts means each of the Required Contracts, but excluding the licenses agreements with Disney Consumer Products Inc., Marvel Brands LLC, and Lucas Films.

Guaranteed Contracts means Crude Oil Contracts with respect to which the payment and/or performance obligations of Genesis OLP are guaranteed by Salomon Inc pursuant to a Guaranty.

Guaranteed Contracts. (a) the Lease Agreement dated as of April 1, 1999 between the San Diego Unified Port District and Duke Energy South Bay, LLC; (b) the Environmental Remediation Agreement dated as of April 22, 1999 between the San Diego Unified Port District and Duke Energy South Bay, LLC; (c) the “Contract and Permit Rights Assignment” and “Property Escrow Agreement” each as defined in the Guaranty of Contract and Permit Rights Assignment and Property Escrow Agreement dated as of April 22, 1999 by Duke Capital Corporation in favor of the San Diego Unified Port District; (d) each “Contract” as defined in the Guaranty dated December 11, 1998 by Duke Capital Corporation in favor of the San Diego Gas & Electric Company; (e) each “Project Document” as defined in the Guaranty (Xxxx Landing) dated November 18, 1997 by Duke Capital Corporation in favor of the Pacific Gas & Electric Company; (f) each “Project Document” as defined in the Guaranty (Morro Bay) dated November 18, 1997 by Duke Capital Corporation in favor of the Pacific Gas & Electric Company; and (g) each “Project Document” as defined in the Guaranty (Oakland) dated November 18, 1997 by Duke Capital Corporation in favor of the Pacific Gas & Electric Company; in each case, as the foregoing are amended, modified, waived or supplemented from time to time.

Examples of Guaranteed Contracts in a sentence

• MLS shall provide Players with valid Guaranteed Contracts or Semi-Guaranteed Contracts (but not any Player signed to a Short Term SPA) with hospital, major medical and dental coverage.

• Notwithstanding the foregoing, and despite any termination of this Guaranty, this Guaranty shall remain in full force and effect and shall continue to apply to (i) all Obligations outstanding or contracted for before the effective date of termination, (ii) all Obligations then or at any time existing or arising pursuant to any Guaranteed Contracts entered into before the effective date of termination and (iii) all of Guarantor’s obligations under Section 4 of this Guaranty.

• Guarantor irrevocably waives any and all rights to trial by jury with respect to any legal proceeding arising out of or relating to this Guaranty or any Obligations arising under the Guaranteed Contracts.

• Guarantor waives notice of any Guaranteed Contracts or Obligations, the acceptance of this Guaranty, presentment, suretyship defenses, all rights of exemption, demand, notice of dishonor or default, protest, notice of protest, notice of any sale of collateral security, notice of the release or discharge of any person or collateral and all other notices whatsoever.

• Nothing in this Section 7.9 shall relieve Buyer of its obligations with respect to the Assumed Liabilities associated with the Guaranteed Contracts.

More Definitions of Guaranteed Contracts

Guaranteed Contracts or “Guaranteed SPAs” have the meanings 84 ascribed to them in Article 8.F.1.
