Général definition

Général. Ce Contrat constitue l'unique accord entre vous et Canon concernant le Logiciel, et prévaut sur tout accord oral ou écrit antérieur. Aucune des parties ne pourra exercer de recours sur le fondement de déclarations sur lesquelles elle se serait fondée pour consentir à ce Contrat (sauf en cas de mauvaise foi). Seuls sont ouverts aux parties les recours pour non exécution du Contrat, dans les conditions prévues aux présentes. Si, à tout moment, une partie de ce Contrat est déclarée, par une juridiction compétente, nulle ou inapplicable en vertu d'une loi quelconque, ceci n'aura aucun effet sur la validité ou l'applicabilité des autres dispositions du Contrat. La défaillance ou le retard de Canon dans l'exercice d'un droit, d'une prérogative ou d'un recours tirés du présent Contrat ne pourra en aucun cas être considéré comme étant une renonciation à ce droit, cette prérogative ou ce recours. Ce contrat ne pourra être modifié qu'avec l'accord écrit et signé d'un représentant dûment autorisé de Canon. Tiers bénéficiaires : Les dispositions du présent Contrat, dans la mesure où elles intéressent les conçédants, fournisseurs, filiales ou sociétés affiliées de Canon, peuvent être directement mises en œuvre par eux- même. Loi: le présent contrat est régi par la loi néerlandaise. Toute contestation entre les parties à propos du présent contrat sera de la compétence exclusive de la "District court" d'Amsterdam, Pays Bas. Canon pourra renoncer à cette disposition et soumettre le litige aux Tribunaux de l'utilisateur.
