Hardware Business definition

Hardware Business means all or substantially all of the assets of Borrower comprising the business of manufacturing, or having manufactured, Intergraph hardware products (the "Products") for Borrower's interactive computer graphics systems and the related Inventory of Borrower as of the Closing Date. The term "Products" does not include Image Stations, ruggedized workstations, local products sold through EDC, TAMPS workstations, photoscans, scan servers, and printers/plotters/scanners sold through Borrower.
Hardware Business means the manufacture, marketing and/or sale by the Hardware Sellers of the following: cabinet hardware, window/door hardware, builders’ and home hardware and hanging and anchoring hardware of the type currently sold under the Bulldog brand, paint accessories, and Levolor-branded and private label drapery hardware, but excluding the ▇▇▇▇▇▇-branded drapery hardware business and any window covering or window treatment business, including Levolor-branded or ▇▇▇▇▇▇-branded window coverings and window treatments.
Hardware Business means the manufacture, marketing and/or sale by the Hardware Sellers of the following: cabinet hardware, window/door hardware, builders’ and home hardware and hanging and anchoring hardware of the type currently sold under the Bulldog brand, paint accessories, and Levolor-branded and private label drapery hardware, but excluding the Kirsch-branded drapery hardware business and any window covering or window treatment business, including Levolor-branded or Kirsch-branded window coverings and window treatments.

  • Sellers shall provide Purchaser with financial records related to its operation of the Telematics Hardware Business prior to the Closing and such other information and schedules reasonably requested by Purchaser to enable Purchaser to satisfy its reporting and filing obligations with the SEC and as otherwise required by Law, including preparation and completion of audited and reviewed financial statements and related footnotes as required by the SEC.

  • There are no Orders with any Governmental Authority relating to the Purchased Assets or the Telematics Hardware Business and arising under Environmental Law for which any obligation remains to be performed.

  • No Seller is subject to any Order affecting the Telematics Hardware Business or any part of the Purchased Assets.

  • Schedule 3.14 of the Disclosure Schedules sets forth a complete and correct list of all governmental licenses, permits, operating authorities, state operating licenses or registrations and other interstate, intrastate, national or international regulatory licenses and other Governmental Authority authorizations held by each Seller that is material, to the Telematics Hardware Business (collectively, “Permits”).
