Borrower shall use commercially reasonable efforts to cause Mortgage Borrower, Maryland Owner, Master Tenant and the Operator to keep and maintain in full force and effect all Licenses and all Health Care Licenses necessary for the operation of the Facility on each Individual Property and as are otherwise necessary for the operation of each Individual Property as currently operated, except as would not reasonably be expected to have, and does not have, a Material Adverse Effect.
Section 4.8(j)(i) of the Company Disclosure Letter sets forth all such Health Care Licenses held by the Company or the Company Entities and separately identifies those for which the Company or a Company Entity has applied (individually, a “Company Health Care License” and collectively, the “Company Health Care Licenses”).

Upon the expiration or earlier termination of this Lease, Landlord may, to the extent permitted by Applicable Law, cause the transfer of Health Care Licenses relating to the Facilities and the operation and management of the Facilities and leasing of the Premises to any replacement operator, manager or tenant of the Facilities designated by Landlord and seek the approval of Health Care Regulatory Agencies in connection therewith.
