High Vote Shares definition

High Vote Shares means a share of the Company’s Class B Common Stock, common stock, par value $0.0001 per share.

  • In no event will Eligible Shares include any TCI High Vote Shares the Beneficial Ownership of which is acquired after the date the Tag-Along Notice is given or which cease to be Beneficially Owned by a member of the Xxxxxxx Group at any time prior to the sale and purchase of such TCI High Vote Shares pursuant to this Section 4.1.

  • Pending such designation, each party to this Agreement shall be entitled to treat as the Xxxxxxx Group Representative the member of the Xxxxxxx Group who holds of record the greatest number of TCI High Vote Shares.

  • Neither the CEO nor the CEO Trust shall make an election pursuant to Section 83(b) of the Code with respect to the CEO High Vote Shares.

  • Parent and Hims each agree to treat and report for applicable income tax purposes the Share Exchange with respect to the CEO High Vote Shares as a “reorganization” within the meaning of Section 368(a)(1)(E) of the Code (and corresponding provisions of applicable state and local Law).

  • In addition, although this Section 2.1 is intended (subject to its express terms and conditions) to bind JCM to vote High Vote Shares Beneficially Owned by him if, as and when required by this 3 Agreement, the parties recognize and agree that nothing contained in this Agreement constitutes a guarantee or other assurance that any nominee of the Xxxxxxx Group as the Designated Director of a Company will be elected or remain in office.

  • The term "BT Proxy" means the voting rights granted to Bankers Trust Company in the event of an exercise of remedies under a Permitted Pledge of certain TCI High Vote Shares.

  • Public Shares means the Ordinary Shares included in the Units issued in the Public Offering; (vi) “Trust Account” shall mean the trust account into which a portion of the net proceeds of the Public Offering and the sale of the Private Placement Warrants shall be deposited; (vii) “Transfer” shall mean the (a) sale of, offer to sell, contract or agreement to sell, hypothecate, pledge, grant of any option to purchase or otherwise dispose of or agreement to dispose of, directly or indirectly, or establishment or increase of a put equivalent position or liquidation with respect to or decrease of a call equivalent position within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended, and the rules and regulations of the Commission promulgated thereunder with respect to, any security, (b) entry into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of any security, whether any such transaction is to be settled by delivery of such securities, in cash or otherwise, or (c) public announcement of any intention to effect any transaction specified in clause (a) or (b); and (viii) “Charter” shall mean the Company’s Amended and Restated Memorandum and Articles of Association, as the same may be amended from time to time.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Newco Shares means the common shares in the capital of Newco;

  • Amalco Shares means the common shares in the capital of Amalco;

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Note Shares means the shares of Common Stock issuable upon conversion of the Notes.

  • Series F Preferred Shares means the Series F Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Dissent Shares means Company Shares held by a Dissenting Shareholder and in respect of which the Dissenting Shareholder has validly exercised Dissent Rights;

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Majority Shareholder Vote means a vote of “a majority of the outstanding voting securities” (as such term is defined in the 0000 Xxx) of the Trust with each class and series of Shares voting together as a single class, except to the extent otherwise required by the 1940 Act or this Declaration with respect to any one or more classes or series of Shares, in which case the applicable proportion of such classes or series of Shares voting as a separate class or series, as the case may be, also will be required.

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • Series B Preferred Shares means the Series B Preferred Shares of the Company, par value US$0.0001 per share.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Series C Shares means the shares of Fixed Rate Cumulative Perpetual Preferred Stock, Series C, of the Company.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Multiple Voting Shares means the Class B multiple voting shares in the capital of the Corporation;

  • Subco Shares means the common shares in the capital of Subco;

  • Subordinate Voting Shares means subordinate voting shares in the capital of the Company.

  • Acquisition Shares means each class of shares of beneficial interest of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • Series E Preferred Shares means the Series E Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • Non-Voting Shares means a particular Class of Shares that do not carry the right to notice of or to attend or vote at general meetings of the ICAV or the relevant Fund.
