Holdings Class B Units definition

Holdings Class B Units means the Class B Common Units of Holdings, which will have full economic rights, but no voting rights to the fullest extent permitted by the DCGL, not be transferrable except in conjunction with the transfer of an equal number of shares of Class V Common Stock and shall otherwise be subject to the terms and conditions set forth in the Amended Holdings Operating Agreement.

  • Other than the Existing Company Class B Units, Existing Company Class B Participation Units and Management Holdings Class B Units, there are no outstanding or authorized options, unit appreciation, phantom unit, profit participation or similar rights with respect to any ownership interests of, or other equity or voting interest in, any Company Party to which any Company Party or Subsidiary of any Company Party is a party or is bound.

  • In exchange for such redemptions, (I) Offshore Fund I hereby receives from TES Holdings a number of TES Units with a value equal to the TES Offshore Fund Equity Value (with each TES Unit being valued based on the IPO Price) and (II) each of the TES Carried Interest Holders is hereby entitled to receive from TES Holdings Class B Units in TES Holdings II pursuant to Section 2.4(e).

Related to Holdings Class B Units

  • Class B Units means the Class B Units of the Company.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Common Units is defined in the Partnership Agreement.

  • Class C Member means a Member holding the Class C Ordinary Share.

  • Class C Shares means shares of the Class C Common Stock.

  • Class B Interests As set forth in the Trust Agreement.

  • Class B Common Unit means one of that certain class of Common Units with those special rights and obligations specified in this Agreement as being appurtenant to a “Class B Common Unit”.

  • Parent Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of Parent.

  • Subordinated Units has the meaning assigned to such term in the Partnership Agreement.

  • Common Unitholder means a Member who is the registered holder of Common Units.

  • Class C Units The term "Class C Units" shall have the meaning set forth in the preface.

  • Class A Common Unit means a Common Unit having the rights and obligations specified with respect to Class A Common Units in this Agreement.

  • Series A Preferred Units has the meaning assigned to such term in Section 5.11(a).

  • LTIP Units means LTIP Units, as such term is defined in the Partnership Agreement.

  • Company Class B Common Stock means the Class B common stock, par value $0.01 per share, of the Company.

  • Parent Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of Parent.

  • Company Class A Common Stock means the Class A common stock, par value $0.0001 per share, of the Company.

  • Class B Stock means Class B Stock, par value $1.00 per share, of the Company.

  • Partnership Units or “Units” has the meaning provided in the Partnership Agreement.

  • Current Class B Interest Distribution Amount As to any Distribution Date, the amount distributed in respect of the Classes of Class B Certificates pursuant to Paragraphs fifth, eighth, eleventh, fourteenth, seventeenth and twentieth of Section 4.01(a) on such Distribution Date.
