Hotel Company means any corporation, partnership, trust or individual which, at the time of Closing, owns or controls not less than twenty (20) hotels, but expressly excluding any corporation, partnership, trust or individual which owns or controls twenty (20) or more hotels but whose primary business is the lending of money or investing on an equity basis in real estate projects as opposed to actively operating hotels or motels.

Hotel Company shall have the meaning set forth in the third recital.
