HTI Operational System definition

HTI Operational System means all *** required, in conjunction with the HTI Telematics Communicators or the Other Telematics Communicators, to create a full service offering of the Telematics Services and Approved Other Telematics Services to Subscribers ***.

  • Notwithstanding anything in this Section 2 to the contrary, HTI shall not be responsible for delays in making the HTI Telematics Communicator, the HTI Operational System, the PASS Service, or any Additional Service available to Subscribers if, and to the extent, such delay results from any action or failure under a duty to act on the part of DCC and HTI could not reasonably avoid, overcome or mitigate the effect of the delay.

  • HTI will maintain accurate and complete books and records relating to the HTI Operational System, the HTI Communicators and other Dedicated Components, the telematics services provided by HTI and HTI’s performance of this Agreement.

  • HTI will make the HTI Operational System fully operational and the PASS Service available to all Subscribers in Enabled Vehicles not later than June 16, 2009 in accordance with and subject to the terms of this Agreement.

  • Furthermore, the HTI Operational System shall be fully operational and the PASS Service available to *** as shown on Exhibit N.

  • HTI will make the HTI Operational System fully operational and the PASS Services and the MBTA Services available to all Subscribers in Enabled Vehicles and LCT Enabled Vehicles not later than the Commencement Date in accordance with and subject to the terms of this Agreement.

  • HTI will maintain accurate and complete books and records relating to the HTI Operational System, the HTI Telematics Communicators, the Telematics Services and the Approved Other Telematics Services which are provided by HTI, HTI’s performance of this Agreement, and any and all amounts received and receivable from Subscribers for Telematics Services or Approved Other Telematics Services pursuant to a Subscriber Agreement.

  • HTI shall be solely responsible for, and will timely make and implement, ***, any changes required by any Governmental Entity to the HTI Operational System or to the way in which Telematics Services are to be provided (other than changes in the HTI Telematics Communicators which are governed by the preceding sentence) to avoid any interruption in telematics services provided pursuant to this Agreement to Subscribers who have implemented any necessary hardware upgrades.

  • Notwithstanding anything in this Section 2 to the contrary, HTI shall not be responsible for delays in making the HTI Telematics Communicator, the HTI Operational System, the Telematics Services or Approved Other Telematics Service available to Subscribers to the extent that an action or failure to act under a duty to act on the part of MBUSA is a *** cause of such delay ***.

  • HTI will be solely responsible for all costs and expenses in providing the PASS Service to Subscribers in Enabled Vehicles, including the cost and expense of *** and for the HTI Operational System and any other required customer support for telematics services provided under this Agreement except to the extent that this Agreement expressly requires DCC to ***.

  • Furthermore, HTI will make the HTI Operational System operational to the extent required to provide the Transition Services commencing on the Transition Services Commencement Date, in accordance with the terms set forth in Exhibit O and the definitive agreement referenced in Section 2(c), if any.

Related to HTI Operational System

  • Project Operational Manual means the Project Operational Manual, to be adopted in accordance with Section 6.01 (a) of this Agreement, giving details of guidelines and procedures agreed with the Association for the implementation, supervision, and monitoring and evaluation, of the Project, and the procurement procedures and guidelines for Sub-Projects, as same may be amended from time to time in agreement with the Association, and such term includes any schedules to the Project Operational Manual;

  • Operational Services the operational services described as such in the Services Description;

  • total system means the transmission system and the distribution system of the Board taken together;

  • Fuel system means the components which store or transport fuel on board the vehicle and comprise the fuel tank system, all fuel and vapour lines, any non-tank mounted fuel pumps and the activated carbon canister.

  • Operational Manual means the manual referred to in Section 3.03 of this Agreement;

  • Disposal system means a system for disposing of sewage, industrial waste, or other wastes, or for the use or disposal of sewage sludge. “Disposal system” includes sewer systems, treatment works, point sources, dispersal systems, and any systems designed for the usage or disposal of sewage sludge.

  • food business operator means the natural or legal persons responsible for ensuring that the requirements of food law are met within the food business under their control;

  • SDX System means the system used by NERC to exchange system data.

  • Fire alarm system means a system designed to detect and annunciate the presence of fire, or by-products of fire. Fire alarm system includes smoke detectors.

  • multi-system operator or “MSO” means a cable operator who has been granted registration under rule 11 of the Cable Television Networks Rules, 1994 and who receives a programming service from a broadcaster and re-transmits the same or transmits his own programming service for simultaneous reception either by multiple subscribers directly or through one or more local cable operators;

  • Operating System refers to the software that manages Hardware for Programs and other software.

  • Alarm system means equipment and devices assembled for the purpose of:

  • Internal Systems means the internal systems of the Company that are used in its business or operations, including, computer hardware systems, software applications and embedded systems.

  • Disaster Recovery System means the system identified by the Supplier in the Supplier Solution which shall be used for the purpose of delivering the Disaster Recovery Services;

  • Radiation therapy simulation system means a radiographic or fluoroscopic x-ray system intended for localizing the volume to be exposed during radiation therapy and confirming the position and size of the therapeutic irradiation field.

  • Manufacturing operation means a process in which materials are changed, converted, or transformed into a different state or form from which they previously existed and includes refining materials, assembling parts, and preparing raw materials and parts by mixing, measuring, blending, or otherwise committing such materials or parts to the manufacturing process. "Manufacturing operation" does not include packaging.

  • Disaster Recovery Services means the disaster recovery and/or business continuity services (as the context may require) to be provided by the Supplier pursuant to Schedule 5 (Disaster Recovery and Business Continuity);

  • Bulk transfer/terminal system means the motor fuel distribution system consisting of refineries, pipelines, marine vessels, and terminals. Motor fuel in a refinery, pipeline, terminal, or a marine vessel transporting motor fuel to a refinery or terminal is in the bulk transfer/terminal system. Motor fuel in a fuel storage facility including, but not limited to, a bulk plant that is not part of a refinery or terminal, in the fuel supply tank of any engine or motor vehicle, in a marine vessel transporting motor fuel to a fuel storage facility that is not in the bulk transfer/terminal system, or in any tank car, rail car, trailer, truck, or other equipment suitable for ground transportation is not in the bulk transfer/terminal system.

  • Food processing plant means a commercial operation that manufactures, packages, labels or stores food for human consumption and does not provide food directly to a consumer. “Food processing plant” does not include any of the following:

  • Functional Specifications means the descriptions of features and functions of the Application as expressly set forth in Quote.

  • XXXXX System means the XXXXX filing system of the Commission and the rules and regulations pertaining thereto promulgated by the Commission in Regulation S-T under the Securities Act and the Exchange Act, in each case as the same may be amended or succeeded from time to time (and without regard to format).

  • Recreational Services means (unless otherwise defined in this document) services that consist of participation in:

  • Operational Flow Order means any directive issued to a Customer by KUB which requires the Customer to adjust Deliveries to KUB or deliveries of non-Firm gas to the Customer by KUB.

  • Operating Software means those routines, whether or not identified as Program Products, that reside in the Equipment and are required for the Equipment to perform its intended function(s), and which interface the operator, other Contractor-supplied programs, and user programs to the Equipment.
