Implied Valuation definition

Implied Valuation has the meaning set forth with respect thereto in Section 3(i).
Implied Valuation means, for any fiscal year or other period of four consecutive fiscal quarters of the Company, the excess of such multiple of Adjusted EBITDA for such fiscal year or other period over the Net Debt as of the end of such fiscal year or other period as shall be determined in good faith by the Committee to represent an appropriate acquisition multiple for the Company at the time of such valuation.
Implied Valuation means, for any fiscal year or other period of four consecutive fiscal quarters of MFOC, the excess of 5.5x Adjusted EBITDA for such fiscal year or other period over the Net Debt as of the end of such fiscal year or other period; provided, that the -------- Implied Valuation for fiscal year 1997 shall be deemed to be $41,354,000.

Implied Valuation means the implicit exchange rate of the Peso to the US Dollar that results from dividing the last price recorded on the last available trading day before the date the Non-Permitted Dividend Amount has been received by the Sellers of the Eligible Bonds in Pesos at the Xxxxxxx Abierto Electrónico in Buenos Aires by the last price of such same securities for US Dollars in the over-the-counter market for USD bonds in New York, both prices as informed by Bloomberg.
Implied Valuation means an agreed valuation of ten dollars and twenty cents ($10.20) per OP Unit.

Implied Valuation means the implicit exchange rate of the Argentine Peso to the US Dollar that results from comparing the average closing price of the Class B shares of TEO on the Buenos Aires Stock Exchange over the 20 trading days prior to the date hereof with an amount equal to one fifth of the average closing price of the ADS of TEO on the New York Stock Exchange over the same period as informed by Bloomberg.

Related to Implied Valuation

  • Company Valuation means $135,000,000.

  • Independent Valuation has the meaning set forth in Section 1.68(d).

  • Initial Valuation means, when used with reference to specified Collateral, the Valuation initially performed for the Collateral as of the date on which the Collateral was added to the Collateral Pool. The Initial Valuation for each of the Initial Mortgaged Properties is as set forth in Exhibit A to the Agreement.

  • Excess valuation assets for a valuation period means:

  • Closing Value means, as of a particular date, the value of a Share determined by the closing sales price for such Share (or the closing bid, if no sales were reported) as quoted on The New York Stock Exchange for the last market trading day prior to the date of determination, as reported in The Wall Street Journal or such other source as the Administrator deems reliable.

  • Ending Value means the average of the values of the Basket at the close of the market on five business days shortly before the maturity date of the Notes. We may calculate the Ending Value by reference to fewer than five or even a single day's closing value if, during the period shortly before the maturity date of the Notes, there is a disruption in the trading of a sufficient number of stocks included in any Basket Index or certain futures or options contracts relating to a Basket Index.

  • Deficient Valuation With respect to any Mortgage Loan, a valuation of the related Mortgaged Property by a court of competent jurisdiction in an amount less than the then outstanding principal balance of the Mortgage Loan, which valuation results from a proceeding initiated under the Bankruptcy Code.

  • Baseline Value for each of the Company and the Peer Companies means the dollar amount representing the average of the Fair Market Value of one share of common stock of such company over the five consecutive trading days ending on, and including, the Effective Date.

  • ST Valuation Date means the Redemption Valuation Date.

  • MFP Valuation Date means the MFP Settlement Valuation Date;

  • Worst Value means, in respect of a SPS Valuation Date, the lowest Underlying Reference Value for any Underlying Reference in the Basket in respect of such SPS Valuation Date.

  • Stored value means monetary value that is evidenced by an electronic record.

  • Call Valuation Date means the first Scheduled Trading Day of the month following the expiry of 35 calendar days after the Issuer’s Call Date. For the avoidance of doubt, the 35 calendar day period is mandatory and non- waivable by either the Issuer or the Holder.

  • Good Value means that the Benchmarked Rates are within the Upper Quartile

  • RI Closing Value means, in respect of a Reference Item and a ST Valuation Date, the Settlement Level (as defined in the Equity Linked Conditions) on such ST Valuation Date.

  • Final Valuation Date means the Final Valuation Date as specified in § 1 of the Product and Underlying Data. If the Final Valuation Date is not a Calculation Date the immediately following Banking Day which is a Calculation Date shall be the Final Valuation Date.

  • Portfolio Value means the aggregate amount of portfolio of investments including cash balance without netting off of leverage undertaken by the CDMDF.

  • SPS Valuation Date means the SPS Redemption Valuation Date or the Strike Date, as applicable.
