Incentive Warrants definition

Incentive Warrants means this Warrant and the other warrants of the Company issued pursuant to, and identified as Incentive Warrants in, that certain Securities Purchase Agreement, dated as of September 25, 1998, by and among the Company and the other signatories thereto (the "Securities Purchase Agreement"). This Warrant is subject to the following terms, provisions and conditions:
Incentive Warrants the ordinary shares issuable pursuant thereto, the “Incentive Warrant Shares” and collectively the “Incentive Warrant Securities”;
Incentive Warrants is defined in the preamble to this Agreement.

More Definitions of Incentive Warrants

Incentive Warrants. In addition to the Closing Date Warrants, the persons set out in Exhibit A-4 hereto shall receive warrants to purchase one hundred twenty-three thousand two hundred forty-three (123,243) shares of Procera’s Common Stock (the “Incentive Warrants”). Such warrants shall be exercisable if, and only if, all of the milestones and conditions set forth in Exhibit C are met. Such warrants shall be granted to the persons and in the numbers set out in Exhibit A-6 and pursuant to a warrant agreement substantially in the form set out in Exhibit A-5 hereto (the “Incentive Warrant Agreement”).”
Incentive Warrants means the Stock Incentive Option as defined in the Management Agreement (comprising two warrants each for 1,000,000 shares of the Borrower's common stock to be issued to INI pursuant to the Management Agreement).

Incentive Warrants. To encourage maximum utilization of the SciQuest system by Dupont, SciQuest shall issue to Dupont, on February 15th 2001, 2002 and 2003, additional warrants to acquire that number of shares of SciQuest common stock determined below, at the price to the public in the initial public offering of SciQuest's common stock (the "Incentive Warrants").
