Indebtedness Payment definition

Indebtedness Payment means the amount of cash delivered by TRGP to Parent pursuant to Section 7.21(a) of the Merger Agreement in respect of the repayment of a portion of Parent’s outstanding indebtedness under the Parent Credit Agreements.
Indebtedness Payment shall have the meaning set forth in Section 2.2(d)(i) hereof.
Indebtedness Payment means the Indebtedness Amount minus (A) the amount of the Loans (within the meaning of the Loan Documents) under the Domestic Loan Agreement (within the meaning of the Loan Documents) and the EXIM Loan Agreement (within the meaning of the Loan Documents) outstanding as of the Closing Date and (B) the Note Amount.
