Initial Arrangers definition

Initial Arrangers shall have the meaning assigned thereto in the Wynn Credit Agreement.

Initial Arrangers collectively, Deutsche Bank Securities Inc., in its capacity as a lead arranger, Banc of America Securities LLC, in its capacity as a lead arranger, and Bear, Xxxxxxx & Co. Inc., in its capacity as an arranger.

Initial Arrangers means Citigroup Global Markets Inc. and Xxxxxx Xxxxxxx Senior Funding, Inc.

• Except as expressly set forth herein with respect to the Initial Arrangers, anything herein to the contrary notwithstanding, none of the Joint Lead Arrangers and Joint Bookrunners or the Co-Syndication Agents listed on the cover page hereof shall have any powers, duties or responsibilities under this Agreement or any of the other Loan Documents, except in its capacity, as applicable, as the Administrative Agent or a Lender.

• The Company shall (or shall procure that an Obligor will) promptly on demand pay the Agent and the Initial Arrangers the amount of all costs and expenses (including legal fees) reasonably incurred by any of them in connection with the negotiation, preparation, printing, execution and syndication of this Agreement and any other Finance Documents referred to in this Agreement, in each case up to any limit agreed by the Company.
