Initial Escrow Period definition

Initial Escrow Period has the meaning set forth in Section 11.4(a).
Initial Escrow Period means the period commencing on the date of this Agreement and ending at midnight on 31 March 2007;
Initial Escrow Period means the period of time beginning on the Closing Date and ending on the later to occur of (a) the date that is the two-month anniversary of the Closing Date and (b) the final determination of Closing Working Capital in accordance with Section 3.4.

Examples of Initial Escrow Period in a sentence

  • Thereafter, the Company or its agents shall send to each Pennsylvania Investor by certified mail within ten (10) calendar days after the end of the Initial Escrow Period a notification substantially in the form of Exhibit F.

  • Thereafter, the Company or its agents shall send to each Pennsylvania Investor by certified mail within ten (10) calendar days after the end of the Initial Escrow Period a notification substantially in the form of Exhibit C.

  • Thereafter, the Company shall send to each Pennsylvania Subscriber by certified mail within ten (10) calendar days after the end of the Initial Escrow Period a notification in the form of Exhibit B attached hereto.

  • All funds in the Escrow Account shall at all times be placed in interest-bearing accounts unless otherwise determined by the Company (except for the funds from Pennsylvania Subscribers in the Escrow Account which must be maintained in an interest-bearing account following the Initial Escrow Period).

  • Thereafter, the Company or its agents shall send to each Pennsylvania Investor by certified mail within ten (10) calendar days after the end of the Initial Escrow Period a notification substantially in the form of Exhibit E.


More Definitions of Initial Escrow Period

Initial Escrow Period means the first 12 months of the escrow period under the Stock Purchase Agreement.
Initial Escrow Period in its entirety and replace it with the following:
Initial Escrow Period means the period of time beginning July 2, 2009 and ending on the Closing Date.
Initial Escrow Period means the period commencing on the date hereof and ending at 5:00 pm (Eastern Time) on the Business Day that is six months after the date hereof (or, if not a Business Day, the next succeeding Business Day), unless earlier terminated pursuant to this Agreement.
