The "Initial Grant Date" shall be the date that an Eligible Director is first appointed or elected to the Board.
Such Restricted Stock shall, subject to Executive's continued employment by the Company, vest in its entirety on the third anniversary of the Initial Grant Date and shall be fully vested upon a Change of Control.
Such Options shall vest in thirds upon each of the first three anniversary dates of the Initial Grant Date, and shall be fully vested upon Executive's death, Disability or a Change of Control.
