Aboriginal person means a person who is a descendant of Aboriginal people of Australia, and “Aboriginal child” has a corresponding meaning;
juridical person means any legal entity duly constituted or otherwise organised under applicable law, whether for profit or otherwise, and whether privately-owned or governmentally-owned, including any corporation, trust, partnership, joint venture, sole proprietorship or association;
Control Person means any Person that holds or is one of a combination of Persons that holds a sufficient number of any of the securities of an issuer so as to affect materially the control of that issuer, or that holds more than 20% of the outstanding voting securities of an issuer except where there is evidence showing that the holder of those securities does not materially affect the control of the issuer;
natural person means any natural person having the nationality of either Contracting Party in accordance with its laws.
Key Managerial Person means person as defined in Section 2(51) of the Companies Act, 2013
juridical person of a Party means a juridical person which is either:
Controlling Person With respect to any Person, any other Person who “controls” such Person within the meaning of the Securities Act.
natural person of a Party means a natural person who resides in the territory of that Party or elsewhere and who under the law of that Party:
Professional person means a mental health professional,
young person means a person who falls within the definition of qualifying young person in section 142 of the SSCBA.
legal person means, with reference to each Contracting Party, any entity having its registered office in the territory of one of them and recognized as public bodies, companies of persons or capital, foundations, associations, and independently of Whether or not it is a limited liability.
Proposing Person means (1) the Record Stockholder providing the notice of business proposed to be brought before an annual meeting or nomination of persons for election to the Board at a stockholder meeting, (2) the beneficial owner or beneficial owners, if different, on whose behalf the notice of business proposed to be brought before the annual meeting or nomination of persons for election to the Board at a stockholder meeting is made, and (3) any Associated Person on whose behalf the notice of business proposed to be brought before the annual meeting or nomination of persons for election to the Board at a stockholder meeting is made;
Deaf person or "person who is deaf" means any person whose hearing is so severely impaired that the person is unable to hear and understand conversational speech through the unaided ear alone, and who must depend primarily on an assistive listening device or visual communication such as writing, lip reading, sign language, and gestures.
Initial Limited Partner has the meaning set forth in the Preamble.
13D Group means any group of persons formed for the purpose of acquiring, holding, voting or disposing of Voting Securities which would be required under the Securities Exchange Act of 1934, as amended (the "Exchange Act"), and the rules and regulations promulgated thereunder, to file a statement on Schedule 13D with the Securities and Exchange Commission as a "person" within the meaning of Section 13(d)(3) of the Exchange Act if such group beneficially owned sufficient securities to require such a filing under the Exchange Act.
Older person means an individual who is at least fifty-five (55) years of age and qualified to reside in a Housing For Older Persons Project.
Controlling Interest means: (1) an ownership interest or participating interest in a business entity by virtue of units, percentage, shares, stock, or otherwise that exceeds 10 percent; (2) membership on the board of directors or other governing body of a business entity of which the board or other governing body is composed of not more than 10 members; or (3) service as an officer of a business entity that has four or fewer officers, or service as one of the four officers most highly compensated by a business entity that has more than four officers. Subsection (3) of this section does not apply to an officer of a publicly held business entity or its wholly owned subsidiaries.
Proposed Nominee Associated Person of any Proposed Nominee shall mean (A) any Person acting in concert with such Proposed Nominee, (B) any direct or indirect beneficial owner of Shares owned of record or beneficially by such Proposed Nominee or Person acting in concert with the Proposed Nominee and (C) any Person controlling, controlled by or under common control with such Proposed Nominee or a Proposed Nominee Associated Person.
Senior Managerial Personnel means the personnel of the company who are members of its core management team excluding Board of Directors. Normally, this would comprise all members of management, of rank equivalent to General Manager and above, including all functional heads.
Controlling Holder means, as of any date of determination:
Exempt Person means the Company, any subsidiary of the Company, any employee benefit plan of the Company or any subsidiary of the Company, and any Person organized, appointed or established by the Company for or pursuant to the terms of any such plan.
taxable person means any person who, independently, carries out in any place any economic activity, whatever the purpose or results of that activity.
Sponsor Parties means Sponsor, Vendor, and Utility, their respective successors and assigns, and each of their respective affiliates, agents, directors, officers, and employees.
Reasonable person means a reasonable person under similar circumstances and with similar identities to the victim.
Ultimate controlling person means that person which is not controlled by any other person.
Juristic Person means a partnership, association, trust, body corporate, company, close corporation or other legal or juristic person;
