Initial Remedy Period definition

Initial Remedy Period means, in respect of an Initial S&P Rating Event, the period from (but excluding) the date on which such Initial S&P Rating Event occurs to (and including) the later of: (i) the 10th Business Day (as defined in the Confirmation in respect of the Transaction under this Agreement other than the Transaction constituted by the Credit Support Annex) following the date on which such Initial S&P Rating Event occurs; and (ii) if Party A has, on or before the 10th Business Day (as so defined) following the date on which such Initial S&P Rating Event occurs submitted a detailed written proposal for collateral posting to S&P and S&P have not taken negative rating action as a result of such proposal, the 20th Business Day (as so defined) following the date on which such Initial S&P Rating Event occurs. If the Initial S&P Rating Event occurs as a result of Party A being a replacement third party or Transferee pursuant to sub-paragraphs (f)(i)(x)(B)(1) or (f)(i)(y)(B)(1) above or Part 5(g) below, where neither the replacement third party or Transferee, nor any Credit Support Provider in respect of the replacement third party or Transferee has the Initial S&P Required Rating at the time such replacement or transfer occurs, there will be no Initial Remedy Period in respect of such Initial S&P Rating Event.

An entity will have the "Initial S&P Required Rating" if the long-term, unsecured and unsubordinated debt obligations of that entity are rated at least as high as "A'' (or its equivalent) by S&P.

Examples of Initial Remedy Period in a sentence

  • If, at the time an Initial S&P Rating Event occurs and is continuing, Party A does not post collateral or take any other action pursuant to sub-paragraph (i)(A) of this Part 5(g) above, such failure shall not be or give rise to an Event of Default but shall constitute an Additional Termination Event with respect to Party A which shall be deemed to have occurred on the last day of the Initial Remedy Period with Party A as the sole Affected Party and all Transactions as Affected Transactions.

Related to Initial Remedy Period

  • Study Period means the period commencing at 9:00 a.m. on the date hereof, and continuing through 5:00 p.m. on the Closing Date.

  • Inspection Period means the period beginning on the Effective Date and expiring at 5:00 p.m. eastern time on the forty-fifth day after the Effective Date.

  • Minimum Extended Summer Resource Requirement means, for Delivery Years through May 31, 2017, the minimum amount of capacity that PJM will seek to procure from Extended Summer Demand Resources and Annual Resources for the PJM Region and for each Locational Deliverability Area for which the Office of the Interconnection is required under Tariff, Attachment DD, section 5.10(a) to establish a separate VRR Curve for such Delivery Year. For the PJM Region, the Minimum Extended Summer Resource Requirement shall be equal to the RTO Reliability Requirement minus [the Limited Demand Resource Reliability Target for the PJM Region in Unforced Capacity]. For an LDA, the Minimum Extended Summer Resource Requirement shall be equal to the LDA Reliability Requirement minus [the LDA CETL] minus [the Limited Demand Resource Reliability Target for such LDA in Unforced Capacity]. The LDA CETL may be adjusted pro rata for the amount of load served under the FRR Alternative.

  • Waiver Period means, for each applicable fee, the period of time from the initial effective date of the MIAX PEARL Fee Schedule until such time that the Exchange has an effective fee filing establishing the applicable fee. The Exchange will issue a Regulatory Circular announcing the establishment of an applicable fee that was subject to a Waiver Period at least fifteen (15) days prior to the termination of the Waiver Period and effective date of any such applicable fee.

  • Medical condition means either of the following:

  • Serious Medical Condition means, for the purpose of interpreting Overseas Emergency Medical Evacuation and Repatriation cover, a condition which in the opinion of the Company or its authorised representatives constitutes a serious or life threatening medical emergency requiring immediate evacuation to obtain urgent remedial treatment in order to avoid death or serious impairment to an Insured Person’s immediate or long-term health prospects. The seriousness of the medical condition will be judged within the context of the Insured Person’s geographical location and the local availability of appropriate medical care or facilities.

  • Extended Use Period means the period beginning on the 1st day in the compliance period on which such building is part of a qualified low-income housing project, and ending on the later of the date specified by such agency in such agreement, or the date which is 15 years after the close of the compliance period.

  • Minimum Extension Condition has the meaning specified in Section 2.15(b).

  • Initial Term has the meaning set forth in Section 7.1.

  • Extended Reporting Period means a designated period of time after a claims-made policy has expired during which a claim may be made and coverage triggered as if the claim has been made during the policy period.

  • Resolution Extension Period As defined in Section 2.03(b).

  • Service Commencement Date means the date the Transmission Provider begins to provide service pursuant to the terms of an executed Service Agreement, or the date the Transmission Provider begins to provide service in accordance with Tariff, Part II, section 15.3 or Tariff, Part III, section 29.1.

  • Non-Renewal Notice shall have the meaning set forth in Section 2.

  • Mitigation Study Period means the duration of time extending six consecutive Capability Periods and beginning with the Starting Capability Period associated with a Class Year Study, Additional SDU Study, and/or Expedited Deliverability Study. For purposes of Section 23.4.5 of this Attachment H, “Mitigated UCAP” shall mean one or more megawatts of Unforced Capacity that are subject to Control by a Market Party that has been identified by the ISO as a Pivotal Supplier. For purposes of Section 23.4.5 of this Attachment H, “Mitigation Net CONE” shall mean the capacity price on the currently effective ICAP Demand Curve for the Mitigated Capacity Zone corresponding to the average amount of excess capacity above the Mitigated Capacity Zone Installed Capacity requirement, expressed as a percentage of that requirement, that formed the basis for the ICAP Demand Curve approved by the Commission.

  • Termination Notice means the communication issued in accordance with this Agreement by one Party to the other Party terminating this Agreement;

  • Debilitating medical condition means one or more of the following:

  • Period of Extended Hire means any additional period that the Hirer wishes the Agency Worker to be supplied for beyond the duration of the original Assignment or series of assignments as an alternative to paying a Transfer Fee;

  • Forbearance Termination Date means the earlier to occur of (i) the Termination Date and (ii) a Termination Event.

  • Initial Termination Date has the meaning set forth in Section 9.1(b)(i).

  • Emergency medical condition means a medical condition manifesting itself by acute symptoms of sufficient severity (including severe pain) so that a prudent layperson, who possesses an average knowledge of health and medicine, could reasonably expect the absence of immediate medical attention to result in a condition described in clause (i), (ii), or (iii) of section 1867(e)(1)(A) of the Social Security Act (42 U.S.C. 1395dd(e)(1)(A)). In that provision of the Social Security Act, clause (i) refers to placing the health of the individual (or, with respect to a pregnant woman, the health of the woman or her unborn child) in serious jeopardy; clause (ii) refers to serious impairment to bodily functions; and clause (iii) refers to serious dysfunction of any bodily organ or part.

  • Second Extension Period means the period of one (1) Contract Year commencing immediately after the end of the First Extension Period.

  • Emergency period means the period during which a public

  • Completion Period means the period starting from the date of issue of "Order" and required to complete the work in all respect.

  • Forbearance Termination Event has the meaning set forth in Section 3(a) hereto.

  • Delivery Period Termination Date Has the meaning specified in the Related Pass Through Trust Supplement.
