International Offering Documents means the Preliminary Prospectus, the Final Prospectus and the General Disclosure Package;
International Offering Documents the Disclosure Package, the Final Offering Circular and any other documents published or issued by the Company for the purpose of International Offering and, in each case, all amendments or supplements thereto; “International Offer Shares” the 16,470,000 Shares being initially offered by the Company for subscription under the International Offering (subject to adjustments as provided in this Agreement and the International Underwriting Agreement) together, where relevant, with the Over-allotment Shares; “International Underwritersthe underwriters to be identified in the International Underwriting Agreement as being the several (and not joint and several) underwriters of the International Offering;

International Offering Documents means the International Offering Circular, the Japanese Prospectus, the registration statement filed with the SEC and any announcements, offer awareness materials and summary disclosure materials issued or to be issued by the Company in connection with the International Offering (including any supplement or amendment thereto);
International Offering Documents means the Preliminary Prospectus and the Final Prospectus;

  • Final Offering Memorandum shall be deemed to mean and include all information filed under the Securities Exchange Act of 1934 (as amended, the “Exchange Act,” which term, as used herein, includes the rules and regulations of the Commission promulgated thereunder) prior to the Time of Sale and incorporated by reference in the Pricing Disclosure Package (including the Preliminary Offering Memorandum) or the Final Offering Memorandum (as the case may be), and all references herein to the terms “amend,” “amendment” or “supplement” with respect to the Final Offering Memorandum shall be deemed to mean and include all information filed under the Exchange Act after the Time of Sale and incorporated by reference in the Final Offering Memorandum. The Company hereby confirms its agreements with the Initial Purchasers as follows:

  • Offering Document means the prospectus or other document (issued by the Management Company with written consent of the Trustee and approved by the Commission) which contains the investments and distribution policy, unit structure(s) and all other information in respect of the Unit Trust, as required by the Rules and Regulations and is circulated to invite offers by the public to invest in the Scheme.

  • Final Offering Circular means the offering circular relating to the public offering of the Shares as filed with the Commission pursuant to Rule 253(g)(2) of Regulation A of the Rules and Regulations, as amended and supplemented by any further filings under Rule 253(g)(2); 1 To be updated upon due diligence review; additional provisions may be added.

  • Placement Agency Agreement means the Placement Agency Agreement by and between the Company and the Placement Agent dated the date hereof.

  • Equity Offering means any public or private sale of common stock or Preferred Stock of the Company or any of its direct or indirect parent companies (excluding Disqualified Stock), other than:

  • Public Equity Offering means an underwritten public offering of Qualified Capital Stock of the Company pursuant to a registration statement filed with the Commission in accordance with the Securities Act.

  • international voyage means a voyage from a country to which the present Convention applies to a port outside such country, or conversely.

  • Limited Offering means an offering that is exempt from registration under the Securities Act of 1933 pursuant to Section 4(2) or Section 4(6) or pursuant to Rule 504, Rule 505, or Rule 506 under the Securities Act of 1933.

  • international flight means all flights other than Domestic Flights.
