Investment Letters definition

Investment Letters means the investment letters in the form attached hereto as Appendix A.
Investment Letters are the certain letter agreements, dated as of the Effective Date, in form and content reasonably acceptable to Collateral Agent and the Lenders, pursuant to which Borrower grants to Lenders or their Affiliates a right (but not an obligation) to invest up to One Million Dollars ($1,000,000) in the aggregate, in any of Borrower’s future rounds of private equity financing on the terms, conditions and pricing set forth therein.
Investment Letters has the meaning specified in Section 5.17.

Related to Investment Letters

  • Investment Letter shall have the meaning specified in subsection 9.07(a).

  • Disbursement Letter means an instructional letter executed and delivered by Borrower to Agent regarding the extensions of credit to be made on the Closing Date, the form and substance of which is satisfactory to Agent.

  • Investment Management Agreement means the Investment Management Agreement, dated as of the date hereof, by and between the Investment Manager and the Borrower.

  • Debt Commitment Letters shall have the meaning set forth in Section 5.7(a), as supplemented by Section 6.11, as applicable.

  • Investment Documents means, collectively, the Loan Documents and the Warrants.

  • Equity Commitment Letter has the meaning set forth in Section 3.4(a).

  • Settlement Agreements means any settlement reached in the U.S. Litigation with any of the Settling Defendants.

  • Reinvestment Agreement means a guaranteed reinvestment agreement from a bank, insurance company or other corporation or entity, in each case, at the date of such acquisition having a credit rating of at least A-1 from S&P and at least P-1 from Moody’s; provided that such agreement provides that it is terminable by the purchaser, without penalty, if the rating assigned to such agreement by either S&P or Xxxxx’x is at any time lower than such ratings.

  • Alternative Acquisition Agreement shall have the meaning set forth in Section 6.5(c).

  • Fee Letters means, collectively, (a) the Arranger Fee Letter and (b) the Administrative Agent Fee Letter.

  • Restructuring Agreement shall have the meaning set forth in the recitals.
