IPO Event definition

IPO Event means the consummation of an underwritten public offering, pursuant to an effective registration statement under the Securities Act, that is underwritten by one or more nationally-recognized investment banking firms and results in the Company receiving not less than $25,000,000 in aggregate cash proceeds from such offering.
IPO Event is the receipt of by Borrower of gross cash proceeds of Fifty Million Dollars ($50,000,000) on or before June 30, 2015 as part of the initial public offering of Borrower’s common stock.

More Definitions of IPO Event

IPO Event means an initial public offering of capital stock by the Company involving the Registration and sale of an aggregate of $25 million or more of common equity of the Company, whether involving a primary offering or a combined primary and secondary offering, and pursuant to which the Company becomes listed on a national securities exchange or on the Nasdaq Stock Market or Nasdaq National Market.
IPO Event occurs when the Borrower completes an initial public offering that results in a cash infusion of at least Fifty Million Dollars ($50,000,000.00).
