Isis Improvements definition

Isis Improvements shall have the meaning as such term is defined in the Isis License Agreement.
Isis Improvements means any improvements to the Isis Delivery Technology and Isis Development Candidate Technology developed by Isis (other than pursuant to the Research and Development Program). Isis Improvements shall be deemed part of and shall be included in the term "Isis Intellectual Property" and shall be deemed, immediately upon development by Isis, to be included in the license of the Isis Delivery Technology and Isis Development Candidate Technology hereunder;
Isis Improvements means improvements to the Isis Patents and/or the Isis Know-How developed (i) by Isis whether or not pursuant to the Project, (ii) by HepaSense or Elan or by a third party (under contract with HepaSense) pursuant to the Project, and/or (iii) jointly by any combination of Isis, Elan or HepaSense pursuant to the Project, except as limited by agreements with third parties. Subject to third party agreements, Isis Improvements shall constitute part of Isis Intellectual Property and be included in the license of the Isis Intellectual Property pursuant to Clause 2.1 solely for the purposes set forth therein. If the inclusion of a Isis Improvement in the license of Isis Intellectual Property is restricted or limited by a third party agreement, Isis shall use reasonable commercial efforts to minimize any such restriction or limitation.

Isis Improvements means improvements to the Isis Patents and/or the Isis Know-How, developed (i) by Isis outside the Project, (ii) by Isis, Elan or Hepasense or by a third party (under contract with Hepasense, Elan or Isis) pursuant to the Project, and/or (iii) jointly by any combination of Isis, Elan, Hepasense or a third party (under contract with Hepasense, Elan or Isis) pursuant to the Project.
Isis Improvements shall have the meaning set forth in the definition of Licensor’s Improvements in the Isis/Sequenom License Agreement.

Related to Isis Improvements

  • Licensee Improvements means Improvements created, conceived, or reduced to practice by or for Licensee.

  • Joint Improvements means Improvements the inventors of which are jointly (a) employees of, or others obligated to assign inventions to, ImmunoGen or any Affiliate of ImmunoGen, and (b) employees of, or others obligated to assign inventions to, Lilly or any Affiliate of Lilly.

  • Needs Improvement the Educator’s performance on a standard or overall is below the requirements of a standard or overall, but is not considered to be unsatisfactory at this time. Improvement is necessary and expected.  Unsatisfactory: the Educator’s performance on a standard or overall has not significantly improved following a rating of needs improvement, or the Educator’s performance is consistently below the requirements of a standard or overall and is considered inadequate, or both.

  • Project Improvements means site improvements and facilities that are:

  • Site Improvements means any construction work on, or improvement to, streets, roads, parking facilities, sidewalks, drainage structures and utilities.

  • Private Improvements means the improvements to be constructed on the Property that are not Public Improvements.

  • Infrastructure Improvements means a street, road, sidewalk, parking facility, pedestrian mall, alley, bridge, sewer, sewage treatment plant, property designed to reduce, eliminate, or prevent the spread of identified soil or groundwater contamination, drainage system, waterway, waterline, water storage facility, rail line, utility line or pipeline, transit-oriented development, transit-oriented property, or other similar or related structure or improvement, together with necessary easements for the structure or improvement, owned or used by a public agency or functionally connected to similar or supporting property owned or used by a public agency, or designed and dedicated to use by, for the benefit of, or for the protection of the health, welfare, or safety of the public generally, whether or not used by a single business entity, provided that any road, street, or bridge shall be continuously open to public access and that other property shall be located in public easements or rights-of-way and sized to accommodate reasonably foreseeable development of eligible property in adjoining areas. Infrastructure improvements also include 1 or more of the following whether publicly or privately owned or operated or located on public or private property:

  • Substitute Improvements means the substitute or additional improvements of the Issuer described in Article V hereof.

  • Infrastructure improvement means permanent infrastructure that is essential for the public health and safety or that:

  • Maximum medical improvement means that no further material improvement would reasonably be expected from medical treatment or the passage of time;

  • Public improvement costs means the costs of:

  • Leasehold Improvements means all buildings, structures, improvements and fixtures located on any Leased Real Property which are owned by Company or any Company Subsidiary, regardless of whether title to such buildings, structures, improvements or fixtures are subject to reversion to the landlord or other third party upon the expiration or termination of the lease for such Leased Real Property.

  • Public improvement means projects for construction, reconstruction or major renovation on real property by or for a public agency. “Public Works” shall mean roads, highways, buildings, structures and improvement of all types, the construction, reconstruction, major renovation or painting of which is carried on or contracted for by any public agency to serve the public interest by does not include the reconstruction or renovation of privately owned property which is leased by a public agency.

  • Tenant Improvements Defined in Exhibit B, if any.

  • Project IP means any Intellectual Property created, invented or discovered in carrying out the Project including in respect of the Project Results but does not include Background IP or copyright in a Student’s thesis or other material produced by him/her for the purpose of assessment towards his/her degree.

  • Quality Improvement means a focus on activities to improve performance above minimum standards and reasonably expected levels of performance, quality and practice.

  • Improvement Costs means any additional expenditure on a fixed asset that materially increases the capacity of the asset or materially improves its functioning or represents more than 10% of the initial depreciation base of the asset;

  • Project IPR means all Intellectual Property Rights that arise or are obtained or developed by either party, or by a contractor on behalf of either party, in respect of the Deliverables in the course of or in connection with the Project;

  • Improvement Plan means the plan required by the Authority from the Supplier which shall detail how the Supplier will improve the provision of the Goods and/or Services pursuant to Clause 29.1.1 (Authority Remedies);

  • Capital Improvements mean the purchase, renovation, rehabilitation, or construction of permanent land, buildings, structures, equipment and furnishings used directly for or in the Project, and any goods or services for the Project that are purchased and capitalized under GAAP, including any organizational costs and research and development costs incurred in Illinois. Capitalized lease costs for land, buildings, structures or equipment shall be included in “Capital Improvements” only if the lease term, including any extensions or options to extend, equals or exceeds the term of this Agreement, and provided that such lease costs are valued at their present value using the corporate interest rate prevailing at the time the Company filed its Application with the Department.

  • Research Project means a discrete scientific endeavor to answer a research question or a set of research questions related to medical marijuana and is required for a medical marijuana research license.
