To the extent Isis Controls Patent Rights as of the Effective Date or during the Collaboration Term, other than the Isis Manufacturing Patent Rights, the Isis Core Technology Patent Rights, Isis Blocking Patent Rights and Isis ASO Compound Patent Rights that would Cover a Lilly ASO Product, and such Patent Rights were acquired by Isis from a Third Party and/or Isis has obligations (financial or otherwise) to a Third Party in connection with the practice of such Patent Rights, such Patent Rights will only be included in the definition of Isis Patent Rights if Isis and Lilly negotiate an agreement to license such Patent Rights which includes (1) the assumption by Lilly of all financial obligations of Isis arising from the grant to Lilly and the practice by Lilly, its Affiliates of Sublicensees, of the Patent Rights, (2) the compensation

For purposes of determining whether a royalty is payable by Alnylam under Section 7.2 in connection with the sale of an Alnylam Single Stranded RNAi Product, any Joint Patent, a Valid Claim of which covers the manufacture, use or sale of such Alnylam Single Stranded RNAi Product, will be considered an Isis Patent Right.

Isis Patent Rights means any and all patents and patent applications in the Territory (which for the purposes of this Agreement shall be deemed to include certificates of invention and applications for certificates of invention) which during the term of this Agreement are owned by ISIS or to which ISIS through license or otherwise acquires rights which (a) claim, cover or relate to Compound and/or Product including without limitation those patents and patent applications which (i) are Compound patents and patent applications listed on Schedule 1.16 (a) (i); or (ii) are ISIS Core Technology patents and patent applications listed on Schedule 1.16 (a) (ii) (to the extent that such ISIS Core Technology patents and patent applications are necessary or useful to Merck in the Field) and patents and patent applications which claim, cover or relate to Core Technology Improvements (to the extent that such Core Technology Improvement patents and patent applications are necessary to Merck to practice effectively in the Field) ; or iii) are ISIS Manufacturing Technology patents and patent applications listed on Schedule 1.16 (a) (iii) (to the extent that such ISIS Manufacturing Technology patents and patent applications are necessary or useful to Merck in the Field) and patents and patent applications which claim, cover or relate to Manufacturing Technology Improvements, to the extent that such Manufacturing Technology Improvement patents and patent applications are necessary or useful to Merck in the Field; or (b) are divisions, continuations, continuations-in-part, reissues, renewals, extensions, supplementary protection certificates, and the like of any of the foregoing patents and patent applications and foreign equivalents thereof.

For purposes of determining whether a royalty is payable under Section 4.4 Isis Patent Rights will include any Patent Right assigned to Lilly under Section 7.2.
