Junior Stock means the Corporation’s common stock and any other class or series of stock of the Corporation hereafter authorized over which Series I Preferred Stock has preference or priority in the payment of dividends or in the distribution of assets on any liquidation, dissolution or winding up of the Corporation.
Under Common Control means possession, directly or indirectly, of power to direct or cause the direction of management or policies (whether through ownership of voting securities, by contract or otherwise); provided, however, that in any event any Person which beneficially owns, directly or indirectly, 10% or more (in number of votes) of the securities having ordinary voting power for the election of directors of a corporation shall be conclusively presumed to control such corporation.
Parent Equity Plans means all employee and director equity incentive plans of Parent and agreements for equity awards in respect of Parent Common Stock granted under the inducement grant exception.
SpinCo Common Stock means the common stock, par value $0.01 per share, of SpinCo.
Parent Equity Plan means the Energy Transfer Equity, L.P. Long-Term Incentive Plan.
Parent Equity Awards means Parent Options, Parent DSU Awards and Parent PSU Awards.
Parity Securities has the meaning specified therefor in Section 2.02(b) of this Agreement.
Parent Common Stock means the common stock, par value $0.01 per share, of Parent.
Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.
Parent Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of Parent.
Parent 401(k) Plan has the meaning set forth in Section 6.6(e).
Liquidation Parity Stock means any class or series of stock of the Corporation (other than the Series L Preferred Stock) that ranks equally with the Series L Preferred Stock in the distribution of assets on any liquidation, dissolution or winding up of the Corporation.
Parent Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of Parent.
Newco Common Stock means the common stock, par value $.01 per share, of Newco.
Series A Parity Securities means any class or series of Partnership Interests that, with respect to distributions on such Partnership Interests or distributions upon liquidation of the Partnership, ranks pari passu with the Series A Preferred Units.
Cumulative Common Unit Arrearage means, with respect to any Common Unit, whenever issued, and as of the end of any Quarter, the excess, if any, of (a) the sum resulting from adding together the Common Unit Arrearage as to an Initial Common Unit for each of the Quarters within the Subordination Period ending on or before the last day of such Quarter over (b) the sum of any distributions theretofore made pursuant to Section 6.4(a)(ii) and the second sentence of Section 6.5 with respect to an Initial Common Unit (including any distributions to be made in respect of the last of such Quarters).
Seller Common Stock means the common stock, par value $0.01 per share, of Seller.
Second Liquidation Target Amount has the meaning assigned to such term in Section 6.1(c)(i)(E).
First Liquidation Target Amount has the meaning assigned to such term in Section 6.1(c)(i)(D).
Parity means the provision of non-discriminatory access to Interconnection, Resale, Unbundled Network Elements and other services provided under this Agreement to the extent legally required on rates, terms and conditions that are non-discriminatory, just and reasonable. Where Technically Feasible, the access provided by Qwest will be provided in "substantially the same time and manner" to that which Qwest provides to itself, its End User Customers, its Affiliates or to any other party.
Welfare Plans shall have the meaning set forth in Section 3.2.4.
Public Company Costs means, as to any Person, costs associated with, or in anticipation of, or preparation for, compliance with the requirements of the Xxxxxxxx-Xxxxx Act of 2002 and the rules and regulations promulgated in connection therewith and costs relating to compliance with the provisions of the Securities Act and the Exchange Act or any other comparable body of laws, rules or regulations, as companies with listed equity, directors’ compensation, fees and expense reimbursement, costs relating to enhanced accounting functions and investor relations, stockholder meetings and reports to stockholders, directors’ and officers’ insurance and other executive costs, legal and other professional fees, listing fees and other transaction costs, in each case to the extent arising solely by virtue of the listing of such Person’s equity securities on a national securities exchange or issuance of public debt securities.
Parent Common Shares means the common shares of beneficial interest, $0.01 par value per share, of Parent.
Series A Junior Securities means any class or series of Partnership Interests that, with respect to distributions on such Partnership Interests and distributions upon liquidation of the Partnership, ranks junior to the Series A Preferred Units, including Common Units and Non-Voting Common Units, but excluding any Series A Parity Securities and Series A Senior Securities.
Junior Securities means the Common Stock and all other Common Stock Equivalents of the Corporation other than those securities which are explicitly senior or pari passu to the Preferred Stock in dividend rights or liquidation preference.
Parent Option means any option to purchase Parent Common Stock which was granted pursuant to a Parent Option Plan.
