Junior Lien Agent definition

Junior Lien Agent means the collateral trustee or other representative of lenders or holders of Junior Lien Obligations designated pursuant to the terms of the Junior Lien Documents and the Intercreditor Agreement.

Junior Lien Agent means the agent, collateral agent, trustee, collateral trustee or other representative of lenders or holders of the Initial Junior Lien Debt, together with its successors in such capacity appointed in accordance with the terms of a collateral trust agreement to be entered into among the Company, the Subsidiary Guarantors, the Junior Lien Agent and the representative of each other Series of Junior Lien Debt.

Junior Lien Agent has the meaning assigned to the term “Applicable Second Lien Agent” in the Senior Lien Intercreditor Agreement.

Examples of Junior Lien Agent in a sentence

• The Junior Lien Agent, for itself and on behalf of the other Junior Lien Secured Parties, hereby waives any and all rights the Junior Lien Secured Parties may now or hereafter have under applicable law to revoke this Agreement or any of the provisions of this Agreement.

• The foregoing shall not be construed to prohibit the Junior Lien Agent from enforcing the provisions of this Agreement or any claims it, or any other Junior Lien Secured Party, may have against the Senior Lien Agent or any other Senior Lien Secured Party that are not the subject matter of this Agreement.

• Until the Discharge of Senior Lien Obligations has occurred, the Junior Lien Agent, on behalf of itself and the Junior Lien Secured Parties, agrees not to seek relief from or modification of the automatic stay or any other stay in any Insolvency Proceeding in respect of any portion of the Collateral, any Proceeds thereof or any Lien in respect of the Junior Lien Obligations, in each case without the Senior Lien Agent’s express prior written consent.

More Definitions of Junior Lien Agent

Junior Lien Agent means (a) the Initial Junior Lien Agent and any successor thereto and (b) any Additional Junior Lien Agent that becomes a party to any Junior Lien Pari Passu Intercreditor Agreement to which the Initial Junior Lien Agent is a party.

Junior Lien Agent means (a) the Initial Junior Lien Agent and any successor thereto and (b) any Junior Pari Passu Agent designated as such pursuant to any Junior Lien Pari Passu Intercreditor Agreement, as applicable.

Junior Lien Agent shall have the meaning assigned thereto in the Preamble hereto and shall include any successor thereto in such capacity, as well as any Person designated as the “Agent” or “Collateral Agent” under the [ ](1) Junior Lien Credit Agreement.
