Piedmont hereby waives all adjustment rights contained in Section 5(c) of all Junior Warrants held by it or which it is entitled to receive, with respect to the issuance of securities by the Company: (a) pursuant to the Note and Warrant Purchase Agreements executed by the Company on each of October 6, 1998, November 12, 1998, February 22, 1999 and April 9, 1999; (b) pursuant to the Merger Agreement; or (c) pursuant to the Purchase Agreement.
