FIRPTA Affidavit means the Foreign Investment in Real Property Tax Act Certification and Affidavit, substantially in the form of Exhibit D hereto.
Transfer Affidavit As defined in Section 5.02(c).
Lost Note Affidavit With respect to any Mortgage Loan as to which the original Mortgage Note has been permanently lost or destroyed and has not been replaced, an affidavit from the Seller certifying that the original Mortgage Note has been lost, misplaced or destroyed (together with a copy of the related Mortgage Note and indemnifying the Trust against any loss, cost or liability resulting from the failure to deliver the original Mortgage Note) in the form of Exhibit H hereto.
Transferee Affidavit As defined in Section 5.03(n).
Affidavit means the affidavit certifying eligibility under section 29A of IBC provided by the Bidder substantially in form and manner as set out in Annexure 3 of this Process Memorandum;
Benefit Plan Opinion With respect to any Certificate presented for registration in the name of any Person, an Opinion of Counsel acceptable to and in form and substance satisfactory to the Trustee and the Company to the effect that the purchase or holding of such Certificate is permissible under applicable law, will not constitute or result in a non-exempt prohibited transaction under Section 406 of ERISA or Section 4975 of the Code, and will not subject the Trust, the Trustee, the Delaware Trustee, the Master Servicer or the Company to any obligation or liability (including obligations or liabilities under Section 406 of ERISA or Section 4975 of the Code) in addition to those undertaken in this Agreement, which Opinion of Counsel shall not be an expense of the Trust, the Trustee, the Delaware Trustee, the Master Servicer or the Company.
Affidavit of Small Business Enterprise Certification means the fully completed, signed, and notarized affidavit that must be submitted with an application for SBE certification. Representations and certifications made by the applicant in this Affidavit are made under penalty of perjury and will be used and relied upon by City to verify SBE eligibility and compliance with SBE certification and documentation requirements.
Notice of Tender means, in connection with an Optional Tender, a notice, substantially in the form attached to the Tender and Paying Agent Agreement, delivered by a Beneficial Owner or its Agent Member to the Tender and Paying Agent, indicating an intention to tender VRDP Shares for sale on a Purchase Date pursuant to Section 1 of Part II of this Statement.
Certified Domestic Violence Specialist means a person who has fulfilled the requirements of certification as a Domestic Violence Specialist established by the New Jersey Association of Domestic Violence Professionals.
Form of Tender means the form of tender in Part C – Form of Tender to this ITT on which Tenderers are to complete their Tenders;
Form of Assignment and Transfer means the “Form of Assignment and Transfer” attached as Attachment 3 to the Form of Note attached hereto as Exhibit A.
Certifying Person As defined in Section 11.05.
Removal Notice shall have the meaning specified in Section 2.07(b).
Functional Acknowledgement means an acknowledgement Message by the receiving party’s computer software application which automatically confirms the receipt of a Message at the moment of receipt;
Crown servant means a person holding an office or employment under the Crown;
Foreign person means any person (including any individual, partnership, corporation, or other form of association) other than a United States person.
Transferee Affidavit and Agreement As defined in Section 6.02(g)(i)(B).
Well-Known Seasoned Issuer means a well-known seasoned issuer, as defined in Rule 405.
Transfer Affidavit and Agreement As defined in Section 5.02(d).
Removal Notice Date means, with respect to the Removed Accounts designated hereby, , (which shall be a date on or prior to the fifth Business Day prior to the Removal Date).
Assistant Hydrographic Surveyor means the Assistant Hydrographic Surveyor of the Authority, as the case may be
Continuing Disclosure Certificate means that certain Continuing Disclosure Certificate executed by the District and dated the date of issuance and delivery of the Bonds, as originally executed and as it may be amended from time to time in accordance with the terms thereof.
Engineer-in-Charge/Consultant/Architect : This term shall mean any authorized representative or person specifically deputed by the Employer wherever they are employed from time to time by the Employer.
United States Person shall have the meanings specified in Section 7701 of the Internal Revenue Code.
Lowest acceptable tender means a tender that complies with all specifications and conditions of tender and that has lowest price compared to other tenders;
Older person means an individual who is at least fifty-five (55) years of age and qualified to reside in a Housing For Older Persons Project.
