LBI Media definition

LBI Media means LBI Media, Inc., a California corporation.
LBI Media and “LBI Sub” have the meanings specified in the first paragraph of this Agreement.
LBI Media or “LBI Media’s” and substituting therefor in each instance the phrase “LBI Media Holdings” or “LBI Media Holdings’”, as applicable.

  • There are no suits, legal proceedings or investigations of any nature pending or, to the knowledge of LBI Media or Buyer, threatened against or affecting it that would affect the ability of LBI Media or Buyer to carry out the transaction contemplated by this Agreement.

  • In the event that Employee: (a) executes this Agreement; (b) is not in breach or default of this Agreement or the surviving terms of the Employment Agreement (as defined herein); (c) has performed all obligations under this Agreement; and (d) has not revoked this Agreement, LBI Media agrees to pay Employee severance in the lump sum amount of $62,499 less standard withholdings and authorized deductions.

EDC, EDC Sub and EDC License Sub are referred to collectively as “Seller,” and LBI and LBI Sub are referred to collectively as “Buyer.” This Amendment is made with reference to that certain FM Asset Purchase Agreement among Seller, LBI Media and the Buyer dated April 5, 2002 (the “FM Asset Purchase Agreement”) and that certain AM Asset Purchase Agreement among Seller, LBI Media and the Buyer dated April 5, 2002 (the “AM Asset Purchase Agreement;” together with the FM Asset Purchase Agreement, the “Asset Purchase Agreements”). Capitalized terms used herein without definition shall have the same meanings herein as set forth in the Asset Purchase Agreements.

Lesson plans, seating charts and other related materials will be prepared and provided to SMaRT students in the same fashion and manner as required for a regular county substitute teacher. Use of a SMaRT student substitute in a classroom as proposed to regular county substitute will not create any additional procedures, preparations or work for the classroom teacher. The signed contract between FAU and District regarding these programs shall not be in conflict with parameters of this agreement.
