  • Neither LC Facility Administrative Agent nor any other Term Loan Lender shall be responsible for the failure of any other Term Loan Lender to make the Term Loan to be made by such other Term Loan Lender.

  • The US Borrowers shall have delivered to the LC Facility Administrative Agent an originally executed Closing Date Certificate, together with all attachments thereto.

  • Each Term Loan Lender shall, not later than noon (New York City time) on the Term Loan Effective Date, wire to a bank designated by LC Facility Administrative Agent the amount of that Term Loan Lender’s Pro Rata Share of the Term Loan.
